Grundlage der Zusammenarbeit sind unsere bekannten Verkaufs-, Lieferungs- und Zahlungsbedingungen. Die Preise sind in EUR ohne Mehrwertsteuer und ohne Montagekosten angegeben.

Kleine Abweichungen bei allen Modellen in Form, Farbe und Ausstattung bleiben uns vorbehalten. Echtholzfurnierte Oberflächen sind naturbedingt in Struktur und Farbe unterschiedlich. Natürliche, zeitbedingte Veränderungen der Oberfläche sind deshalb kein Reklamationsgrund.

Die Melamin-Ausführungen werden grundsätzlich mit Struktur-Oberfläche geliefert.

Änderungen, die dem technischen Fortschritt dienen, sind vorbehalten. Oberflächen bzw. Ausführungen der einzelnen Baugruppen und Modelle siehe Oberflächenmatrix.

Durch diese Preisliste verlieren alle bisherigen Preise ihre Gültigkeit.

Programmumfang

Individuelle Arbeitsplätze, Benches, Meeting, Management - Epure ist für alle Hierarchieebenen einsetzbar. Mit dem universellen Diabolo® werden alle Komponenten verbunden. Diabolo® ist das Einzige, was sie an Werkzeug benötigen - und somit das Herzstück von Epure.

Werkstoffe

The range

Individual workstations, benches, Epure is available in gradual solutions; its components are assembled without tools thanks to the universal Diabolo® milled head.

Materials and finishes

Worktops:Two versions available :• Structural laminate Isoplan® particle board panel, 3,6 cm thick. • Top with Melamin surface, 3,5 mm thick

– 3 layered fine chipboard as per DIN 68765-H1– Emission class E0,5

• Edge banding material ABS 2 mm – single colour– Optional the Twin edge® can be choosen, a patented industrial process

that allows to glu two ABS edges all around a worktop at the same time.

On melamine tops the lower edge is 19 mm and the upper edge is 16 mm On laminate tops the lower edge is 19 mm and the upper edge is 17 mm The lower edge finish always matches the finish of the legs whereas the upper edge always matches the finish chosen for the worktop.

Top access cable-outlet and grommets are optional.

Legs: die cast aluminium, powder coated.• 3 versions :

– F2 - fixed height– H14 - Height adjustable - 62 to 92 cm– W10 - Height adjustable on castors

Linking plates: • pressed steel sheet, 0,3 cm thick, aluminium grey powder coated. • 2 Diabolos® give the connection to the worktop.

Modesty panels:• steel sheet, powder coated; fixations in steel, powder coated.

Horizontal cable trays: • 2 versions :

– tiping version - adapatation of Kiron cable tray on Epure – metal version. P03 finish ONLY.

Bei Bench Konfigurationen sind die horizontalen Kabelkanäle in einfacher oder doppelbreiter Version für einen erhöhten Platzbedarf für das Kabelma-nagement erhältlich.

Vertikale Kabelführung:• Metall Cover, das an die nicht höheneinstellbaren Beine angeklippst werden

kann.Erhältlich in 4 Farben.

Tische

Tischplatten Mehr als 60 Tischplattenformen mit fixen, höheneinstellbaren und/oder rollbaren Beinen stehen zur Verfügung. Ein Großteil der Tischplatten sind symmetrisch und benötigen keine weitere Unterkonstruktion; die Tischbeine können zur Verbindung von zwei Tischplatten eingesetzt werden. Diese Vorteile ermöglichen die Reduzierung der Einzelteile auf ein Minimum und ermöglichen die großartige Flexibilität. Die Programmübersicht auf den folgenden Seiten zeigt die Positionen der Beine, optionale U-Auslässe oder Kabelauslässe. Als Option können die Tischecken mit einem 6 cm Radius abgerundet werden.Die Maße bleiben gleich.

Zur Info: - Die abgerundeten Tischecken sind nicht in Verbindung mit Sichtblenden aus dem Programm Universal Screens kompatibel.

Der große U-Auslass (rechteckig) ermöglicht das Kabelmanagement bei gleichzeitiger Nutzung von Sichtblenden aus unserem Programm "Universal Screens". Es wird mit einer Cover Lippe geliefert.

Doppel-Arbeitsplätze und Benches

Konzept: In den letzten Jahren sind Doppel-Arbeitsplätze und vor allem Bench-Lösungen in allen Bereichen immer häufiger eingesetzt worden. Im puristischen Sinn ist die Idee von großen, multifunktionalen Arbeitstischen, für eine je nach Bedarf variierende Anzahl von Nutzern mit unterschiedlichen Aufgaben immer eine Lösung zur optimalen Ausnutzung der zur Verfügung stehenden Arbeitsfläche. So können Arbeitsflächen je nach Bedarf für mobile und extern arbeitende Mitarbeiten zur Verfügung gestellt werden: Arbeitsplätze sind nicht länger individuell eingerichtet, sondern durch zurückgesetzte Beine sowie intelligentes Kabelmanagement und Networking so ausgestattet, dass eine optimale Nutzung der Arbeitsfläche als auch ein schnellen plug & play möglich ist.

Die Vorteile sind vielfältig:• Eine flexible, funktionale Gestaltung: Möglichkeiten zur Arbeit im Team, ob 4,

Das Epure-Prinzip der bestmöglichen Flexibilität setzt sich in der Bench fort: die Bench ist werkzeuglos montierbar, mit einer Tischplatte und einer von zwei Beineinheiten:• Füße, fixe Höhe

– identisch zu den Standard Epure Füßen– zurückgesetzt 27/33,5/40 cm von der Tischkante in Abhängigkeit zu der

Tischtiefe von 80/90/100 cm• ELT-Box (Elektrifizierungs-Box) als alternative zu den Standardfüßen

zwischen zwei Tischplatten einsetzbar, jedoch nicht unter Abschlussmodul– zur besseren Aufnahme der Elektrifizierung– zurückgesetzt 43/53/63 cm von der Tischkante in Abhängigkeit zu der

Tischtiefe von 80/90/100 cmDie Bench kann mit unterschiedlichem Eqipment ausgestattet werden:

On bench configurations, horizontal cable trays are proposed in single version or in double version for a big capacity cable management.

Vertical cable channels: • Metal cover that can be clipped on the fixed leg.

Available in the 4 powder paint finishes.

Desks

TopsMore than 60 standard shapes of worktops mounted on fixed or mobile legs, both with optional height adjustment. Most of the worktops are symmetrical and their integrity makes it possible to do without supporting understructure; the legs can also be shared. All these advantages contribute to reducing the number of components required and increasing the flexibility. The range overview on the following pages defines the positions of the legs and optional grommets or cable outlets.In option, all angles can be round (6 cm radius)Dimensions remain unchanged.

Please note:-The round angle is not compatible with the 3d level return screens.

The large grommet (rectangular) enables cabling when using Universal Screen on Epure desk.It's delivered with a cover lid.

Two cable outlets are also available:• Aluminium cable outlet, equipped with brushes

Face to face rectangular desks and Benches

Concept : Initially devised with the hot-desking in mind, the "bench" type workstation has in recent years become a popular feature of offices in a range of sectors.In purists’ terms, the idea of the large, multi-purpose table, with its capacity to accommodate varying numbers of users and a multiplicity of tasks, is all about freeing up “personal” space. It aims chiefly to provide spaces suitable for mobile or external workers: desks are no longer individually designated; internal legs are set back, and the central cabling/networking unit makes for easy "plug & play" connectability.

The advantages are numerous:• A flexible, multi-functional layout: freedom to work in teams of 4, 6, or more,

or solo with the addition of moveable privacy panels – making it easier to cope with the peaks and troughs of office use by a mobile workforce.

• Better use of space• New working practices that stimulate communication, interactivity and

creativity.

In line with the flexibility principle of the Epure range, the bench is a tool-free assembly system, with a structural top and one of two leg units: • fixed legs:

– identical to the standard Epure leg unit– set back 27/33,5/40 cm from the edge of the worktop depending on the

depth of the tops 80/90/100 cm.• column unit:

– for improved integration of electrical cabling– set back 43/53/63cm from the edge of the worktop depending on the depth

of the tops 80/90/100cm

Face to face rectangular desks and Benche

With fixed legs as well as with column legs, bench is always made with: • 1 start module or 1 start extension• 1 or 2 intermediary modules• 1 end module or 1 end extension

IMPORTANT NOTE : Tops used on face to face desks and benches are 12 mm shorter in depth than standard worktops. Nevertheless they still can be used as tops for mere desks once the bench has been dismantled.

Das Konzept

Das Programm Epure Meeting wurde entwickelt, um wertvollen Raum für Besprechungen so flexibel, funktional und einfach zu handhaben wie möglich.Eine minimale Anzahl von Komponenten, die werkzeuglos miteinander verbunden werden können, erlauben den Benutzern eine optimale Anpassung an wechselnde Anforderungen - einfach, schnell und kosteneffizient. Eine große Auswahl an Plattenformen bieten Gestaltungsspielraum. Die einfache Handhabung von Kabelmanagement und schneller Zugriff auf Steckdosen und Netzanschluss sind Optionen, die hier nicht fehlen. Epure Meeting vereint Design, Einfachheit in Form und Handhabung, Fuktionalität und Beständigkeit.

Das Programm

Epure Meeting bietet modulare oder unabhängig stehende Lösungen, mit bestehenden Füßen bzw. Füßen auf Rollen. Die Montage erfolgt werkzeuglos. Diabolo® ist das Einzige, was sie an Werkzeug benötigen - und ist somit das Herzstück von Epure.

Ein Großteil der Tischplatten sind symmetrisch und benötigen keine weitere Unterkonstruktion; die Tischbeine können zur Verbindung von zwei Tischplatten eingesetzt werden. Diese Vorteile ermöglichen die Reduzierung der Einzelteile auf ein Minimum als großer Vorteil bei der Montage.

Die Tischplatten können mit Beinraumblenden ausgestattet werden.

Das Kabelmanagement erfolgt vertikal über an die Beine anklipsbare Kabelblenden und horizontalen Kabelkanälen, die unter die Tischplatten angeschraubt werden und entsprechend dem Bedarf Kabel, Netzboxen, etc. aufnehmen können. Kabelauslässe in der Tischplatte ermöglichen einen direkten Zugriff in den Kabelkanal. Die Klappe kann in Aluminium gebürstet oder farbgleich mit der Tischoberfläche ausgewählt werden.

Minimal components and simple assembly without tools allows users to reconfigure quickly and easily the wide choice of tops that offer many layout variations. The ability to have harmonious integration of wiring and easy access to power and network connections are options within in the range. Epure meeting cultivates the values of design, simplicity, functionality and reliability.

The range

Epure Meeting tables offer modular or independent solutions, fixed or mobile. They are assembled without tools thanks to the universal Diabolo® milled head.

Most of the tops are symmetrical and do not require a supporting structure, the legs can be shared between 2 tops; further reducing the number of compon-ents handled during installation.

The tops can be equipped with modesty panels.

Cable management is provided vertically by channels on the legs, and horizontally with trays capable of housing power and data. Direct access to the cable trays is also possible via flip up outlets in the tops finished either in brushed aluminium or to match the top.

Materials and finishes

Tops: particle board, density 700 kg/m3 ; thickness 2,8 cm. melamine or veneer finishes. Height on legs 73,1 cm.

Legs:• aluminium epoxy painted.

Linking plate: • pressed steel sheet, 0,3 cm thickness, aluminium powder coated.• with 2 Diabolo® fixed below top

Modesty panels: • steel sheet, powder coated; fixations in formed steel, powder coated.

Cable trays :• 2 versions :

– tiping version - adapatation of Kiron cable tray on Epure – eco,omic polypropylene version

Two cable outlets are also available: • Aluminium cable outlet, equipped with brushes • Cable outlet to match finish of top (in the same finish as the top) with

brushes and shock absorber.

Vertical cable channels: Translucent polypropylene.

DesignDesigned by Emmanuel Dietrich,The Epure range draws from the formal styles of simplicity and purity.The natural complements of the Epure desking range can also be associa-ted with most of the other ranges thanks to its sober style and its common finishes.

Das Konzept

Eine schlichte und zeitlose Gestaltung, hochwertige Furnieroberflächen, Epure Management vereint die noble Lebenskultur mit natürlichen Holzoberflächen mit den Werten Schlichtheit, Effizienz und Eleganz.

Das Programm ermöglicht die Gestaltung von Tischen, ganz auf die individuellen Kundenwünschen abgestimmt und angepasst an erhältliche Oberflächen. Epure Management bietet ein diskretes und leicht zu hand-habendes Kabelmanagement sowie einfachen Zugang zu dem unter den Tischen geführten Kabelkanal mit Steckdosen und Platz für Netzwerkzubehör.

ProgrammumfangTische9 unterschiedliche Plattenformate für die wichtigsten Tische, in unterschiedlichen Maßen und Ausführungen, Beinraumblenden als Option.

Anbauplatten:für Besprechungen oder zur Erweiterung des Arbeitsplatzes.Die Platten sind ergänzend oder eigenständig, fix oder auf Rollen.

Kabelmanagement, Computer Equipment (optional) U-Auslässe in den Platten, horizontale Kabelkanäle zum Erreichen von Strom und Netzwerkzugang, vertikale Kabelführung am Tischbein. A sober and timeless spirit, quality veneer finishes, Epure Management is aimed at those who appreciate the noble and living nature of the natural wood, the values of simplicity, efficiency and elegance.

The range which enables the creation of a desk customized according to the individual needs and adapted to the available surface. Epure Management provides a discrete wire management and an easy access to the network and power connections.

The rangeDesks:9 different shapes for the main desks, in several dimensions.Modesty panels in option.

Annex tops:to create a meeting space or to extend the working surface.They are complementary or independent, fixed or mobile.

Wire management, computer equipment integration (optional): grommets on the tops, horizontal cable trays to receive power and data sockets; vertical cable ducks against the legs. A direct access to the cable trays is possible on some tops thanks to pivoting cable outlet. Screen support swivelling shelf.

Epure Management can be assembled without tools thanks to the universal Diabolo®. The structural tops do not need further supporting structure and the legs can be shared between 2 tops.

1 Allgemeines – Geltungsbereich

1.1 Unsere Verkaufs- und Lieferbedingungen gelten ausschließlich. Diese gelten auch für alle künftigen Geschäftsbeziehungen, auch wenn sie nicht nochmals ausdrücklich ver-einbart werden. Entgegenstehende oder von unseren Verkaufs- und Lieferbedingungen abweichende Bedingungen des Bestellers erkennen wir nicht an, es sei denn, wir hätten ausdrücklich schriftlich ihrer Geltung zugestimmt. Unsere Verkaufs- und Lieferbedingungen gelten auch dann, wenn wir in Kenntnis entgegenstehender oder von unseren Verkaufs- und Lieferbedingungen abweichender Bedingungen des Bestellers die Lieferung an den Bestel-ler vorbehaltlos ausführen.

1.2 Nebenabreden, Zusicherungen oder Änderungen dieser Verkaufs- und Lieferbedin-gungen sind nur bei unserer ausdrücklichen, schriftlichen Anerkennung verbindlich.

1.3 Ein Vertrag kommt erst mit unserer schriftlichen Auftragsbestätigung oder der unver-züglichen Lieferung durch uns zustande.

1.4 Die in der Leistungsbeschreibung (Auftragsbestätigung) festgelegten Beschaffen-heiten legen die Eigenschaften des Liefergegenstandes umfassend und abschließend fest.

1.5 Unsere Erklärungen im Zusammenhang mit diesem Vertrag (z.B. Leistungsbeschrei-bung, Auftragsbestätigung, Bezugnahme auf DIN-Normen usw.) enthalten im Zweifel keine Übernahme einer Garantie. Im Zweifel sind nur ausdrückliche schriftliche Erklärungen un-sererseits über die Übernahme einer Garantie maßgeblich.

1.6 Auftragsänderungen sind nur in Ausnahmefällen möglich und auch nur dann, wenn noch nicht mit der Fertigung begonnen wurde. Eventuelle Kosten für vom Besteller ge-wünschte Auftragsänderungen gehen zu Lasten des Bestellers.

2 Angebot - Angebotsunterlagen

2.1 Alle Angebote sind freibleibend, sofern nichts Gegenteiliges bestimmt wird.

2.2 Zeichnungen, Abbildungen, Maße und Gewichte und sonstige Leistungsdaten sind nur verbindlich, wenn dies ausdrücklich schriftlich vereinbart wurde.

2.3 An Abbildungen, Zeichnungen, Kalkulationen und sonstigen Unterlagen behalten wir uns Eigentums- und Urheberrechte vor. Dies gilt auch für solche schriftlichen Unterlagen, die als „vertraulich“ bezeichnet sind. Vor ihrer Weitergabe an Dritte bedarf der Besteller unserer ausdrücklichen schriftlichen Zustimmung.

3 Preise – Zahlungsbedingungen

3.1 Sofern sich aus der Auftragsbestätigung oder mangels anderer Vereinbarung nichts anderes ergibt, gelten unsere Preise „ab Werk“, einschließlich Verpackung.

3.2 Der Besteller ist zum Abzug von 2% Skonto auf den Nettopreis berechtigt, wenn der Zahlungseingang innerhalb von 14 Tagen nach Rechnungserstellung verzeichnet werden kann.

3.3 Die gesetzliche Mehrwertsteuer ist nicht in unseren Preisen eingeschlossen; sie wird in gesetzlicher Höhe am Tag der Rechnungsstellung in der Rechnung gesondert ausgewie-sen.

3.4 Sofern sich aus der Auftragsbestätigung oder mangels anderer gesonderter Verein-barungen nichts anderes ergibt, ist der Kaufpreis netto (ohne Abzug) nach 30 Tagen ab Rechnungsdatum zur Zahlung fällig. Kommt der Besteller in Zahlungsverzug, sind wir be-rechtigt Verzugszinsen in Höhe von 8%-Punkte über dem jeweiligen Basiszinssatz p.a. zu fordern. Falls wir in der Lage sind, einen höheren Verzugsschaden nachzuweisen, sind wir berechtigt, auch diesen geltend zu machen.

3.5 Aufrechnungsrechte stehen dem Besteller nur zu, wenn seine Gegenansprüche rechtskräftig festgestellt, unbestritten oder von uns anerkannt sind. Außerdem ist er zur Ausübung eines Zurückbehaltungsrechtes insoweit befugt, als ein Gegenanspruch auf dem selben rechtlichen Verhältnis beruht.

4 Lieferzeit

4.1 Der Beginn der von uns angegebenen Lieferzeit setzt die Abklärung aller technischen Fragen voraus.

4.2 Wir stehen für die rechtzeitige Beschaffung des Liefergegenstandes nur ein, soweit wir den Liefergegenstand bzw. die dafür erforderlichen Zulieferungen rechtzeitig erhalten. Wir werden aber den Besteller unverzüglich über die Nichtverfügbarkeit oder nicht recht-zeitige Verfügbarkeit des Liefergegenstandes bzw. der Zulieferungen informieren. Die Beweislast dafür, dass eine Pfl ichtverletzung im Zusammenhang mit der Beschaffung des Liefergegenstandes von uns zu vertreten ist, obliegt dem Besteller.

4.3 Die Einhaltung unserer Lieferverpfl ichtung setzt die rechtzeitige und ordnungsge-mäße Erfüllung der Verpfl ichtungen des Bestellers voraus. Die Einrede des nicht erfüllten Vertrages bleibt vorbehalten.

4.4 Kommt der Besteller in Annahmeverzug oder verletzt er sonstige Mitwirkungs-pfl ichten, so sind wir berechtigt, den uns insoweit entstehenden Schaden, einschließlich aufkommender Mehraufwendungen zu verlangen. Weitergehende Ansprüche bleiben vor-behalten.

4.5 Kommt der Besteller im Fall des Annahmeverzugs einem schriftlichen Abnahme-verlangen innerhalb angemessener Zeit nicht nach, sind wir berechtigt, die Erfüllung des Vertrages zu verweigern und Schadensersatz wegen Nichterfüllung zu verlangen. Wir sind in diesem Fall berechtigt, als Schadensersatz wahlweise entweder pauschal 20% des ver-einbarten Brutto-Kaufpreises zu verlangen, es sei denn, der Besteller weist einen geringe-ren Schaden nach, oder den Ersatz des effektiv entstandenen Schadens vom Besteller zu fordern.

4.6 Sofern die Voraussetzungen von Ziff. 4 Abs. 3 vorliegen, geht die Gefahr eines zufäl-ligen Unterganges oder einer zufälligen Verschlechterung der Kaufsache in dem Zeitpunkt auf den Besteller über, in dem dieser in Annahme- oder Schuldnerverzug geraten ist.

4.7 Teillieferungen sind zulässig.

4.8 In Fällen höherer Gewalt, Streik, Aussperrung oder ähnlicher unvorhergesehener Ereignisse, die die Ausführung eines Auftrages behindern, sind wir für die Dauer der Behin-derung an die vereinbarte Lieferzeit nicht gebunden.

5 Versandbedingungen – Gefahrenübergang

5.1 Soweit der Versand nicht durch uns selbst vorgenommen wird, rollen alle Sendungen auf Gefahr des Bestellers, dem auch die Versicherung der Ware obliegt. Der Gefahrenüber-gang erfolgt im Zeitpunkt der Übergabe der Ware durch uns an den Versandbeauftragten bzw. den Besteller.

5.2 Erkennbare Transportschäden sind unverzüglich bei der Annahme der Ware, ver-deckte Transportschäden spätestens innerhalb von 7 Tagen nach Entdeckung, bei dem anliefernden Versandbeauftragten schriftlich geltend zu machen.

5.3 Bei Versendung durch uns behalten wir uns die Wahl des Versandweges und die Versandart vor.

6 Gewährleistung und Haftung für sonstige Mängel

6.1. Garantien werden von uns nur im Rahmen individualvertraglicher Abreden übernom-men.

6.2. Die Untersuchungs- und Rügepfl icht des § 377 HGB gilt aber auch dann, wenn der Kunde Besteller iSv § 14 BGB ist und die Bestellung in Ausübung einer gewerblichen oder selbständigen berufl ichen Tätigkeit erfolgt.

6.3. Wir übernehmen bei Lieferung von Bürostühlen und Büromöbeln, ausge-nommen sind elektronische Antriebe, für eine Dauer von 5 Jahren gegenüber dem Besteller die Gewährleistung für eine dem jeweiligen Stand der Technik entsprechende Fehlerfreiheit des Kaufgegenstandes, für die Verwendung bestgeeigneter Materialien und für sorgfältige und funktionsgerechte Verarbeitung nach Maßgabe folgender Bedingungen:a) Die Gewährleistung beginnt mit dem Zeitpunkt des Gefahrübergangs auf den Bestel-ler.b) Beanstandungen offensichtlicher Mängel sind bei Eintreffen der Lieferung auf dem Lieferschein bzw. Empfangsschein anzuzeigen. Beanstandungen verborgener bzw. ver-steckter Mängel sind innerhalb von 5 Arbeitstagen nach Entdeckung dem Lieferer schriftlich anzuzeigen unter Angabe der Fabrikationsnummer bzw. des Lieferdatums.c) Die Gewährleistung umfasst nicht natürlichen Verschleiß sowie Schäden, die entwe-der durch unsachgemäße Behandlung, fehlerhafte Montage bzw. Inbetriebsetzung durch den Besteller oder Dritte hervorgerufen sind.Bei einer Nutzung der Produkte des Lieferers im Mehrschichtbetrieb verkürzt sich die Ge-währleistungszeit in entsprechendem Verhältnis (z.B. 2-Schichtbetrieb = halbe Zeit).Soweit keine Verlängerung der Gewährleistungsfrist greift, gilt die gesetzliche Gewährleis-tungsfrist von zwei Jahren.

6.4. Für gebrauchte Waren und Ausstellungsware ist die Gewährleistung insgesamt ausgeschlossen. Reklamationen können weiter nicht anerkannt werden, wenn es sich um zweite Wahl oder einen Sonderposten handelt und die Gebrauchstüchtigkeit der Ware nicht entscheidend beeinträchtigt wird. Beim Kauf berücksichtigte Mängel können nicht als Re-klamation geltend gemacht werden. Reklamationen wegen Beeinträchtigungen, die nach dem Stand der Technik unvermeidbar sind, wie die bei Echtholzfurnier bzw. Leder unver-meidbaren Farbabweichungen bzw. Unregelmäßigkeiten der Struktur, stellen keine Mängel dar, da die Ursache weder material- noch herstellungsbedingt ist. Dasselbe gilt für geringfü-gige Abweichungen in der Qualität, Gewicht, Größe, Dicke, Breite, Ausrüstung, Musterung und Farbe, soweit diese aufgrund gültiger Norm zulässig sind.

6.5. Soweit ein von uns zu vertretender Mangel der Kaufsache vorliegt, besteht – in-soweit abweichend von § 439 Abs. 1 BGB – nach unserer Wahl ein Anspruch auf Nach-besserung oder auf Ersatzlieferung. Die zum Zwecke der Nacherfüllung erforderlichen Aufwendungen trägt der Besteller, soweit sie sich dadurch erhöhen, dass der Lieferge-genstand an einen anderen Ort als die Niederlassung des Bestellers verbracht wird, es sei denn, die Verbringung entspricht ihrem bestimmungsgemäßen Gebrauch

6.6 Schlägt eine zweimalige Nachbesserung oder Ersatzlieferung fehl, so ist der Bestel-ler nach seiner Wahl berechtigt, vom Vertrag zurückzutreten oder eine entsprechende

Herabsetzung des Kaufpreises (Minderung) zu verlangen. Weitere Ansprüche des Be-stellers sind ausgeschlossen. Dies gilt insbesondere für Schadensersatzansprüche des Bestellers.

6.7. Im Rahmen der gesetzlichen Gewährleistungszeit stellt der Lieferer sämtliche Ersatzteile sowie den Einsatz des mobilen Kundendienstes ohne Berechnung zur Ver-fügung. Soweit die Gewährleistungszeit über die gesetzliche Gewährleistungszeit von zwei Jahren hinausgeht, berechnet der Lieferer für weitere 12 Monate lediglich die jeweils gültige Fahrtkostenpauschale. Danach werden neben der Fahrtkostenpauschale auch die durch die Gewährleistungstätigkeit anfallenden Lohnkosten berechnet.

6.8. Soweit der Besteller Rechte aus den Rückgriffsregelungen des §§ 478, 479 BGB geltend macht, schließen wir die Haftung auf Schadensersatz - soweit gesetzlich zugelas-sen - aus.

7. Haftung

7.1. Wir haften uneingeschränkt nach den gesetzlichen Bestimmungen für Schäden an Leben, Körper und Gesundheit, die auf einer fahrlässigen oder vorsätzlichen Pfl ichtver-letzung von uns, unseren gesetzlichen Vertretern oder unseren Erfüllungsgehilfen beru-hen, sowie für Schäden, die von der Haftung nach dem Produkthaftungsgesetz umfasst werden. Für Schäden, die nicht von Satz 1 erfasst werden und die auf vorsätzlichen oder grob fahrlässigen Vertragsverletzungen sowie Arglist von uns, unseren gesetzlichen Ver-tretern oder unseren Erfüllungsgehilfen beruhen, haften wir nach den gesetzlichen Be-stimmungen. In diesem Fall ist aber die Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt, soweit wir, unsere gesetzlichen Vertreter oder unsere Erfüllungsgehilfen nicht vorsätzlich gehandelt haben. In dem Umfang, in dem wir bezüglich der Ware oder Teile derselben eine Beschaffenheitsgarantie abgegeben haben, haften wir auch im Rahmen dieser Garantie. Für Schäden, die auf dem Fehlen der garantierten Beschaffenheit beruhen, aber nicht unmittelbar an der Ware eintreten, haften wir allerdings nur dann, wenn das Risiko eines solchen Schadens ersichtlich von der Beschaffenheitsgarantie erfasst ist.

7.2. Wir haften auch für Schäden, die durch einfache Fahrlässigkeit verursacht werden, soweit die Fahrlässigkeit die Verletzung solcher Vertragspfl ichten betrifft, deren Einhal-tung für die Erreichung des Vertragszwecks von besonderer Bedeutung ist. Wir haften jedoch nur, soweit die Schäden typischerweise mit dem Vertrag verbunden und vorher-sehbar sind.

7.3. Eine weitergehende Haftung ist ohne Rücksicht auf die Rechtsnatur des geltend gemachten Anspruchs ausgeschlossen; dies gilt insbesondere auch für deliktische An-sprüche oder Ansprüche auf Ersatz vergeblicher Aufwendungen statt der Leistung.

7.4. Soweit unsere Haftung ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung unserer Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfül-lungsgehilfen.

8. Rücktritt

Wir sind jederzeit und ohne Anmahnung zum Rücktritt vom Vertrag berechtigt, wenn sich die Vermögensverhältnisse des Bestellers wesentlich verschlechtert haben und infolge dessen die Erfüllung der Verpfl ichtung des Bestellers gefährdet ist. Diese Vorausset-zungen gelten zum Beispiel dann als erfüllt, wenn bei dem Besteller Zahlungseinstel-lungen, Zwangsvollstreckungsmaßnahmen wegen Zahlungsansprüchen, Wechsel- und Scheckproteste erfolgen oder über das Vermögen des Bestellers ein Insolvenzverfahren beantragt oder ein solches eröffnet wird. Die Rechte bestehen auch dann, wenn diese Voraussetzungen bereits bei Vertragsabschluß vorhanden, uns jedoch nicht bekannt wa-ren.

9. Eigentumsvorbehalt

9.1. Wir behalten uns das Eigentum an der Kaufsache bis zum Eingang aller Zahlungen aus der Geschäftsverbindung (bei Zahlung durch Scheck oder Wechsel bis zur Einlösung) vor.

9.2. Der Besteller ist verpfl ichtet, die Kaufsache pfl eglich zu behandeln. Insbesondere ist er verpfl ichtet, diese auf eigene Kosten gegen Feuer-, Wasser- und Diebstahlschäden ausreichend gegen Neuwert zu versichern.

9.3. Bei Pfändungen und sonstigen Eingriffen hat uns der Besteller unverzüglich schrift-lich zu benachrichtigen, damit wir Klage gemäß § 771 ZPO erheben können. Soweit der Dritte in der Lage ist, die gerichtlichen und außergerichtlichen Kosten einer Klage gemäß § 771 ZPO zu erstatten, haftet der Besteller für den uns entstandenen Ausfall.

9.4. Der Besteller ist berechtigt, die Kaufsache im ordentlichen Geschäftsgang weiter-zuverkaufen; er tritt uns jedoch bereits jetzt alle Forderungen in Höhe des Rechnungsend-betrages (inkl. Mehrwertsteuer) unserer Forderung ab, die ihm aus einer Weiterveräuße-rung gegen seine Abnehmer oder Dritte erwachsen, und zwar unabhängig davon, ob die Kaufsache ohne oder nach Verarbeitung weiter verkauft worden ist. Zur Einziehung dieser Forderung bleibt der Besteller auch nach der Abtretung ermächtigt. Unsere Befugnis, die Forderung selbst einzuziehen, bleibt hiervon unberührt. Wir verpfl ichten uns jedoch, diese Forderung nicht einzuziehen, solange der Besteller seinen Zahlungsverpfl ichtungen aus den vereinnahmten Erlösen nachkommt, nicht in Zahlungsverzug gerät und insbesondere

kein Antrag auf Eröffnung eines Insolvenzverfahrens gestellt ist oder Zahlungseinstellung vorliegt. Ist aber dies der Fall, so können wir verlangen, dass der Besteller die uns abge-tretenen Forderungen der Schuldner bekannt gibt, alle zum Einzug erforderlichen Anga-ben macht, die dazugehörenden Unterlagen aushändigt und den Schuldnern (Dritten) die Abtretung mitteilt.

9.5. Die Verarbeitung oder Umbildung der Kaufsache durch den Besteller wird stets für uns vorgenommen. Wird die Kaufsache mit anderen, uns nicht gehörenden Gegenstän-den verarbeitet, so erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Kaufsache (Rechnungsendbetrag, inkl. Mehrwertsteuer) zu den anderen ver-arbeiteten Gegenstände zur Zeit der Verarbeitung. Für die durch Verarbeitung entstehen-de Sache gilt im übrigen das gleiche, wie für die unter Vorbehalt gelieferte Kaufsache.

9.6. Der Besteller tritt uns auch die Forderungen zur Sicherung unserer Forderungen gegen ihn ab, die durch die Verbindung der Kaufsache mit einem Grundstück gegen einen Dritten erwachsen.

10. Zusätzliche Bedingungen für Schrank- und Trennwand-Abwicklun-gen

10.1. Bei der Lieferung von Schrank- und Trennwänden erfolgt Lieferung und Gewähr-leistung nach VOB/B.

10.2. In diesen Fällen gelten folgende Zahlungsbedingungen.

1/3 bei Auftragserteilung 1/3 bei Lieferung bis 90% bei Montageende Rest bei Schlußrechnung

10.3. Grundlage aller von uns durchzuführender Montagearbeiten sind die vom Bestel-ler oder Bauherrn bzw. dessen Architekten genehmigten Ausführungszeichnungen. Die Montageleistungen werden bausauber übergeben. Eine Feinreinigung obliegt dem Bau-herrn bzw. dem Auftraggeber.

10.4. Für alle auftretenden Maßtoleranzen, die nicht der VOB oder den DIN-Vorschriften 1820/1 entsprechen, müssen für geleistete Mehraufwendungen Regiekosten in Ansatz gebracht werden. Die Verrechnung erfolgt auf Stundennachweis zu unseren jeweils gültigen Stundensätzen. Alle zusätzlich zu erbringenden Leistungen bzw. Mehraufwen-dungen, wie zum Beispiel Anpassarbeiten, besondere Decken- und Wandanschlüsse usw., werden gesondert berechnet. Aufwendungen, die auf Behinderungen durch andere Handwerker, Montageverschiebungen, etc. zurückzuführen sind, werden nach Zeitauf-wand abgerechnet.

11. Anzuwendendes Recht

Vertragsverhältnisse, auf die diese Verkaufs- und Lieferbedingungen Anwendung fi nden, unterliegen dem Recht der BRD – die Bestimmungen des Übereinkommens der Vereini-gten Nationen über Verträge über den internationalen Warenverkauf vom 11. April 1980 sind ausgenommen.

12. Gerichtsstand – Erfüllungsort

12.1. Für alle sich aus dem Vertragsverhältnis ergebenden Streitigkeiten ist, wenn der Besteller Kaufmann, eine juristische Person des öffentlichen Rechts oder ein öffentlich-rechtliches Sondervermögen ist, in Abhängigkeit vom Streitwert das Amtsgericht am Sitz des Lieferers, oder die für unseren Geschäftssitz zuständige Handelskammer des Land-gerichts zuständig. Wir sind jedoch auch berechtigt, den Besteller an seinem Wohn- oder Geschäftssitzgericht zu verklagen.

12.2. Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist unser Geschäfts-sitz Erfüllungsort.

13. Geltungsbereich

Die vorstehenden Verkaufs- und Lieferbedingungen gelten vom 01. Mai 2006 an.

1 General - Scope of Applicability

1.1 Our Standard Terms and Conditions of Sale and Delivery apply exclusively. They also apply to all future business relations even if this is not expressly agreed again. We do not accept contrary provisions from the customer or provisions that deviate from our Terms and Conditions of Sale and Delivery unless we expressly agreed in writing to their application. Our Terms and Conditions of Sale and Delivery also apply even if we carry out deliveries to the customer with-out reservation in the knowledge of contrary provisions from the customer or provisions that deviate from our Terms and Conditions of Sale and Delivery.

1.2 Ancillary agreements, warranties or amendments to these Terms and Conditions of Sale and Delivery are only binding with our express written acceptance.

1.3 A contract does not come into effect until we have accepted the order in writing or delivered promptly.

1.4 The properties in the specifi cations (acceptance of order) stipulate the qualities of the article delivered comprehensively and fi nally.

1.5 Our statements in connection with this contract (e.g. specifi cations, acceptance of order, reference to DIN standards, etc.) do not contain any assumption of a guarantee in case of doubt. In case of doubt only ex-press written statements from us on the assumpti-on of a guarantee are relevant.

1.6 Changes to orders are only possible in exceptional cases and then only if produc-tion has not started. Any costs for changes required by the customer shall be for his ac-count.

2 Offer - Offer Documents

2.1 All offers are without commitment unless otherwise stipulated.

2.2 Drawings, illustrations, dimensions, weights and other performance data are not binding unless this was ex-pressly agreed in writing.

2.3 We reserve title and copyright in illustrations, drawings, calculations and other re-cord. This also applies to such written records that are designated „confi dential“. The customer requires our express written approval before passing them to third parties.

3 Prices - Terms of Payment

3.1 Unless otherwise shown in the acceptance of order or otherwise agreed our prices apply „ex works“ including packing.

3.2 The customer may deduct 2% discount from the net price if receipt of payment can be recorded within fourteen days of invoicing.

3.3 Our prices do not include VAT; this will be shown separately on the invoice at the rate valid on the date the invoice is issued.

3.4 Unless otherwise shown in the acceptance of order or otherwise agreed the purchase price shall be due and payable net (without deductions) 30 days from the date of the invoice. If the customer is in default with the payment, we shall have the right to de-mand default interest of 8 percentage points above the respective annual base rate. If we are able to provide evidence of greater damage we shall be entitled to claim this as well.

3.5 The customer may only set off if his counterclaims are fi nal and absolute, are not disputed or we have ac-cepted them. In addition, he shall be entitled to exercise a right of retention insofar as a counterclaim is based on the same legal relationship.

4 Delivery period

4.1 The start of the delivery period that we indicated presupposes clarifi cation of all technical questions.

4.2 We shall only be responsible for the procurement in time of the object to be deli-vered insofar as we re-ceive the object to be delivered or the necessary supplies in time. However, we shall inform the customer promptly of the non-availability or the late availa-bility of the object to be delivered or the supplies. The customer shall bear the burden of proof that we are responsible for a breach of duty in connection with the procurement of the object to be delivered.

4.3 Compliance with our obligation to deliver presupposes the timely and due fulfi lment of the customer‘s obligations. We reserve the defence of unperformed contract.

4.4 If the customer is in default of acceptance or if he infringes other obligations to cooperate we shall be entitled to demand compensation for the damage we suffer as a result, including additional expense that we have incurred. We reserve the right to further claims.

4.5 If the customer is in default of acceptance and fails to comply with a written demand to accept delivery within a reasonable time, we shall be entitled to re-fuse to fulfi l the con-tract and to demand damages for non-performance. In this case we shall be entitled to de-

mand damages from the customer of either a fl at-rate 20% of the agreed gross purchase price, unless the customer provides evidence of lesser damage, or reimbursement of the damage that actually occurred.

4.6 Insofar as the preconditions of Clause 4.3 are found the risk of accidental loss or accidental deteriora-tion of the object purchased shall pass to the cus-tomer at the time the latter defaults with the accep-tance or debt.

4.7 Part deliveries are permitted.In cases of force majeure, strikes, lockouts or similar unforeseen events that hinder the imple-mentation of an order we shall not be bound to the agreed delivery period for the duration of the hindrance.

5 Terms of Shipping - Transfer of Risk

5.1 Unless we carry out the delivery ourselves, all consignments are transported at the customer‘s risk and the customer is also responsible for insuring the goods. The risk passes at the moment we hand the goods to the authorised carrier or to the customer.

5.2 Visible transport damage shall be notifi ed without delay on receipt of the goods; hidden transport damage shall be notifi ed in writing to the authorised carrier no later than seven days after detection.

5.3 If we ship the goods we reserve the right to select the shipping route and the mode of transport.

6 Guaranty and Liability for Other Defects

6.1 We provide guarantees only in the framework of indi-vidual contractual agree-ments.

6.2 However, the duty to inspect and requirement to give notice of defects pursuant to §377 of the German Com-mercial Code (HGB) shall also apply if the customer is also the person ordering within the meaning of §14 of the German Civil Code („BGB“) and the order is given in the exercise of a commercial or independent occupational activity.

6.3 For deliveries of offi ce chairs and offi ce furniture, with the exception of electronic drives, we guarantee the buyer for a period of fi ve years that the object purchased is free of defects in accordance with the state of the art, that the most suitable materials were used and that the manufacturing was careful and in accordance with the function, subject to the following conditions:a) The guarantee shall commence at the time the risks passes to the customer.b) Complaints about obvious defects shall be noted on the delivery note or receiving slip when the consignment is received. Complaints about hidden or concealed defects shall be notifi ed to the carrier in writing within fi ve working days of detection together with the serial number or the delivery date.c) The guarantee does not cover natural wear and tear or damage that was caused by incorrect handling, faulty assembly or commissioning by the buyer or third parties.

If the supplier‘s products are used in multiple shift operations the guarantee period is reduced correspond-ingly (e.g. two-shift operations = the period is halved). Unless an extension of the guaranty period applies the statutory guaranty period of two years shall apply.

6.4. Guarantees are excluded in general for used items or exhibits. In addition, claims cannot be accepted if they concern seconds or off-the-line items and the fi tness for use of the goods is not decisively impaired. Defects that were taken into account on the purchase cannot be made the subject of complaints. Complaints because of impairments that are unavoidable under the state of the art, such as the unavoidable colour deviations or struc-tural irregularities with real wood veneers and leather, are not defects because the cause does not lie in the material or the manufacture. This also applies to minor deviations in quality, weight, size, thickness, width, fi nish, pattern and colour insofar as these are per-missible on the basis of a valid standard.

6.5. Insofar as there is a defect of the goods bought for which we are responsible there is, in so far in devia-tion from §439(1) of the German Civil Code („BGB“), a right subject to our option to reworking or to a sub-stitute delivery. The buyer shall be responsible for the expenses involved in subsequent performance insofar as they are increased because the item delivered is transferred to a location other than the customer‘s branch, unless the transfer corresponds to use for the intended purpose.

6.6. If the reworking or substitute delivery is unsuccessful twice the customer shall have the right at his option to withdraw from the contract or to demand an appropriate reduction in the purchase price. All other claims by the customer are excluded insofar as this is per-missible under statute. This applies in particular to claims by the customer for damages.

6.7. In the framework of the statutory guarantee period the supplier shall make all spare parts and use of the mobile after-sales service available without charge. Insofar as the guarantee period is longer than the statutory guarantee period of two years, during an additional period of 12 months the supplier shall invoice only the fl at-rate travel costs that are current at the time. After this, the labour costs that accrue through the guarantee work shall be invoiced together with the fl at-rate travel costs.

6.7. In the framework of the statutory guarantee period the supplier shall make all spare parts and use of the mobile after-sales service available without charge. Insofar as the

6.8. Insofar as the customer claims rights under the recourse provisions in §§478, 479 of the German Civil Code („BGB“) we exclude liability for damages insofar as this is per-mitted under statute.

7. Liability

7.1. We shall be liable without limit under the statutory provisions for injury to life and limb and damage to health that are caused by a negligent or intentional breach of duty by us, our statutory representatives or our vicarious agents, as well as for damage that is covered by liability under the Product Liability Act. We shall be liable under the statutory provisions for damage that is not covered by sentence 1 and that is the result of negligent or intentional breaches of contractual obligations and fraud by us, our statutory repre-sentatives or our vicarious agents. However, in this case the liability for damages shall be limited to the foreseeable typical damage that is to be ex-pected in the normal course of things insofar as we, our statutory representatives or our vicarious agents did not act intentionally. To the extent that we have assumed a quality guarantee for the goods or parts thereof we shall be liable in the framework of this guarantee as well. However, we shall be liable for damage that is based on the lack of the guaranteed quality, but which is not caused directly to the goods, only if the risk of such damage is obviously covered by the quality guarantee.

7.2. We shall also be liable for damage caused by simple negligence insofar as the neg-ligence concerns the breach of contractual obligations where compliance is of particular importance for achieving the goal of the contract. However, we shall only be liable insofar as the damage is typically linked to the contract and is foreseeable.

7.3. Further liability is excluded regardless of the legal nature of the claim; this shall apply in particular for claims under tort or claims for reimbursement of abortive expenses instead of performance.

7.4. Insofar as our liability is excluded or limited this shall also apply to the personal liability of our employees, workers, associates, representatives and vicarious agents.

8 WithdrawalWe are entitled to withdraw from the contract at any time and without warning if the customer‘s fi nancial circumstances have deteriorated considerably and that, as a result, the fulfi lment of the customer‘s obligation is at risk. These preconditions shall be deemed in particular to be fulfi lled if the customer suspends payments, or if enforcement procee-dings for payment claims or bill or cheque protests are carried out in respect of the cus-tomer, or if bankruptcy pro-ceedings with regard to the customer‘s assets are applied for or instituted. These rights shall also exist if these preconditions were already in existence when the contract was concluded but we were unaware of them.

9 Reservation of title

9.1 We reserve title to the goods bought until receipt of all payments arising from the business connection (on payment by cheque or bill until they are honoured).

9.2 The customer agrees to handle the goods bought with care. He agrees in particular to insure them suffi -ciently against fi re, water and theft at his own ex-pense at the replace-ment value.

9.3 In the event of seizures and other measures the customer shall inform us without delay so that we can institute legal proceedings pursuant to §771 of the German Civil Procedure Rules („ZPO“). Insofar as the third party is able to reimburse the judicial and extrajudicial costs of proceedings pursuant to §771 of the German Civil Procedure Rules the customer shall be liable to us for the shortfall.

9.4 The customer is entitled to resell the goods bought in the course of ordinary busi-ness; however, he hereby assigns to us all debts in the amount of the fi nal invoice amount (incl. VAT) of our claim that accrue to him against his buyers or third parties under a resale, irrespective of whether the goods bought were resold with or without processing. The customer re-mains empowered to collect this debt even after the assignment. This shall not affect our right to collect the debt ourselves. However, we agree not to collect this debt as long as the customer fulfi ls his payment obligations from the proceeds received, is not in default and, in particular, that a petition for the institution of bankruptcy proceedings is not submitted or payments suspended. However, if this is the case we may demand that the customer informs us of the claims assigned to us, provides all the information required for collection, hands over the appropriate documenta-tion and informs the debtors (third parties) of the assignment.

9.5 Processing or converting the goods bought by the customer is always done on our behalf. If the goods bought are processed with other objects that are not our property we shall acquire co-ownership in the new object in the ratio of the value of the goods bought (fi nal invoice amount incl. VAT) to the other proc-essed objects at the time of processing. The provisions applying to goods bought under retention of title shall also apply to objects made by processing.

9.6 In order to secure our claims against him the customer shall also assign the claims

against third parties to which he is entitled as a result of connecting the bought goods to a plot of land.

9.7 We undertake at the request of the customer to release securities to which we are entitled insofar as the re-alisable value of our securities exceeds the debts that are to be secured by more than 20%; we have the right to select the securities for release.

10 Additional Conditions for Processing Wall Units and Room Divi-ders

10.1 Where wall units and room dividers are delivered the delivery and guarantee shall be subject to the German Standard Building Contract Terms („VOB/B“).

10.2 The following payment terms apply in these cases:

• 1/3 on award of the contract • Up to 90% at the end of the installation work • 1/3 on delivery • Remainder with the fi nal account

10.3 The design drawings approved by the customer, the builder or the architect shall form the basis for all installation work that we are to carry out. The in-stallation work shall be handed over swept clean. The builder or the contractor shall be responsible for fi ne cleaning.

10.4 Standard costs shall be invoiced for the extra work involved for all occurring dimen-sional tolerances that do not conform to VOB/B or the DIN standards 1820/1. Invoicing shall be on the basis of hourly records at our hourly rates in the amounts applicable at the time. All additional services to be provided or additional expenditure, such as adjusting work, in particular ceiling and wall connections, will be invoiced separately. Expenditure that was caused by obstruction by other craftsmen, postponed installation work, etc., will be invoiced in accordance with the time involved.

11 Applicable LawContractual relations to which these Terms and Condi-tions of Sale and Delivery are ap-plied shall be subject to the laws of the Federal Republic of Germany; the provisions of the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980 are excluded.

12 Venue - Place of Performance

12.1 If the customer is a merchant, a legal entity under public law or special assets under public law, depend-ing on the value of the matter in dispute the venue for disputes arising from the contractual relationship shall be the Amtsgericht (District Court) at the loca-tion of the supplier‘s head offi ce or the commercial division of the Landgericht (Regional Court) with jurisdiction for the location of our place of business. However, we shall also be entitled to sue the customer at the court with jurisdiction for his place of residence or place of business.

12.1 Unless otherwise shown in the acceptance of order the place of performance shall be our place of business.

13 Scope of ApplicationThe above Terms and Conditions of Sale and Delivery are valid from 1 July 2005.
