Περιοχή ισχύος των Γενικών Όρων Πώλησης και Παρά-δοσης (1) Για όλες τις πωλήσεις (στο εξής «συμβάσεις αγοράς» στο πλαίσιο των επιχειρηματικών δραστηριοτήτων της εταιρίας Selecta Hellas IKE & SIA E.E. (Στο εξής «πωλήτρια») για την προ-μήθεια φυτών (στο εξής «προϊόν», «αγαθά», «εμπόρευμα», «εμπορεύματα») σε επιχειρηματίες κατά την άσκηση της εμπο-ρικής τους δραστηριότητας ή της ανεξάρτητης επαγγελματι-κής τους δραστηριότητας (στο εξής «αγοραστής») ισχύουν αποκλειστικά οι παρόντες Γενικοί Όροι Πώλησης και Παράδο-σης της εταιρίας Selecta Hellas IKE & SIA E.E. Οι παρόντες Γενι-κοί Όροι Πώλησης και Παράδοσης ισχύουν και για όλες τις μελλοντικές συμβάσεις πώλησης και παραδόσεις της πωλήτρι-ας στον αγοραστή, ακόμη και αν δεν αναφερθούν ξανά ξεχω-ριστά. (2) Αντίθετοι ή διαφορετικοί γενικοί όροι και προϋποθέσεις του αγοραστή δεν αναγνωρίζονται από την πωλήτρια, ακόμη και αν η εγκυρότητά τους σε μεμονωμένες περιπτώσεις δεν αντικρούεται ρητά. Οι γενικοί όροι και προϋποθέσεις του αγο-ραστή δεν ισχύουν ακόμη και αν η πωλήτρια πραγματοποιεί παραδόσεις στον αγοραστή χωρίς επιφύλαξη, με γνώση των αντίθετων όρων και προϋποθέσεων.
II. Προσφορές, τιμές, όροι πληρωμής και έκταση υπηρε-σιών(1) Οι προσφορές της πωλήτριας είναι πάντα μη δεσμευτικές. (2) Οι τιμές στις προσφορές της πωλήτριας είναι καθαρές τιμές εκ του εργοστασίου χωρίς φόρο προστιθέμενης αξίας, ωστό-σο συμπεριλαμβανομένης της συσκευασίας και της φόρτω-σης.(3) Σε περίπτωση που η πωλήτρια αποστείλει τα εμπορεύματα στον αγοραστή ή σε έναν τόπο που έχει ορίσει ο αγοραστής, ο αγοραστής επιβαρύνεται, εκτός αν συμφωνηθεί διαφορετικά, το κόστος της μεταφοράς, ιδίως τα έξοδα ναύλων, ασφάλισης και τελωνειακών δασμών. Αυτά υπολογίζονται ξεχωριστά από την πωλήτρια. Αυτό ισχύει επίσης, εφόσον η παράδοση έχει συμφωνηθεί να γίνει από τόπο διαφορετικό από το εργοστά-σιο της πωλήτριας. (4) Εάν ο συμφωνημένος χρόνος παράδοσης υπερβαίνει τους τέσσερις μήνες από τη σύναψη της σύμβασης, η πωλήτρια δι-καιούται, σε περίπτωση αύξησης του κόστους λόγω αυξημέ-νων τιμών υλικών και πρώτων υλών, μισθών και αμοιβών, τι-μών μεταφοράς ή ενέργειας, να ζητήσει υψηλότερη τιμή στο πλαίσιο της αντιστάθμισης και προς αντιστάθμιση των παρα-πάνω αυξήσεων. (5) Οι πληρωμές από πλευράς του αγοραστή πρέπει να γίνο-νται τακτικά στον τραπεζικό λογαριασμό που καθορίζεται από την πωλήτρια. Τυχόν πληρωμές τοις μετρητοίς σε υπαλλήλους της πωλήτριας αναγνωρίζονται μόνο αν κάποιος εξουσιοδοτη-μένος εκπρόσωπος της πωλήτριας έχει προηγουμένως επιβε-βαιώσει γραπτώς ενώπιον του αγοραστή την εξουσιοδότηση του υπαλλήλου να λάβει τα μετρητά. (6) Ο αγοραστής έχει δικαίωμα συμψηφισμού ή μπορεί να κα-τοχυρώσει δικαίωμα παρακράτησης έναντι απαιτήσεων της πωλήτριας που απορρέουν από σύμβαση με τον αγοραστή, μόνο με ή με βάση νόμιμα αποδεδειγμένες, αδιαμφισβήτητες ή αναγνωρισμένες από την πωλήτρια ανταπαιτήσεις. (7) Αντικείμενο των συμβάσεων αγοράς δεν είναι η παροχή συμβουλευτικών υπηρεσιών από την πωλήτρια στον αγορα-στή, ειδικότερα δε η παροχή συμβουλών σχετικά με την ορθή και προσεκτική κατεργασία και επεξεργασία των προϊόντων, τη συντήρηση ή την καλλιέργειά τους ή τη χρήση φυτορμο-νών, αναστολέων, λιπασμάτων και φυτοφαρμάκων, καθώς και την προστασία των φυτών. Αν η πωλήτρια προβεί σε υποδεί-ξεις σχετικά με το χειρισμό του εμπορεύματος, ειδικά για τη συντήρηση, την καλλιέργεια, την κατεργασία ή την επεξεργα-σία, πρόκειται για μη δεσμευτικές πληροφορίες που δεν αί-ρουν την υποχρέωση του αγοραστή για υπεύθυνη και προσε-κτική συντήρηση, καλλιέργεια, κατεργασία ή επεξεργασία του εμπορεύματος. Ο αγοραστής είναι ο ίδιος υπεύθυνος για την κατάλληλη συντήρηση, καλλιέργεια, κατεργασία και επεξερ-γασία των αγορασθέντων αγαθών και είναι υπεύθυνος για την τήρηση των εκάστοτε εν ισχύ νομικών διατάξεων, ιδιαίτερα για την προστασία των φυτών και τη χρήση φυτορμονών, ανα-στολέων, λιπασμάτων και φυτοφαρμάκων.(8) Η πωλήτρια παραπέμπει τον αγοραστή στις συνοδευτικές οδηγίες σχετικά με τη συντήρηση, την καλλιέργεια, την κατερ-γασία ή την επεξεργασία των παραδιδόμενων φυτών. Οι οδη-γίες σχετικά με τη συντήρηση, την καλλιέργεια, την κατεργα-σία ή την επεξεργασία των φυτών.μπορούν επίσης να ανακληθούν στην ιστοσελίδα της πωλήτριας στην ηλεκτρονι-κή διεύθυνση www.selecta-one.com ή να ζητηθούν από την πωλήτρια.
III. Παράδοση και χρόνος παράδοσης (1) Η πωλήτρια έχει δικαίωμα τμηματικών παραδόσεων σε λο-γικό βαθμό. (2) Σε περίπτωση μη διαθεσιμότητας των συμφωνηθέντων εμπορευμάτων (ιδίως της συμφωνηθείσας ποικιλίας) σύμφωνα με το σημείο III.6, η πωλήτρια έχει το δικαίωμα να παραδώσει στον αγοραστή παρόμοια εμπορεύματα. Σε περίπτωση που ο αγοραστής έχει βάσιμους λόγους να μην ενδιαφέρεται για τα παρόμοια εμπορεύματα, μπορεί να αποσυρθεί από τη σύμβα-ση. (3) Κατά την αποστολή των εμπορευμάτων, ο κίνδυνος τυχαί-ας χειροτέρευσης και τυχαίας καταστροφής του εμπορεύμα-τος μετατίθεται στον αγοραστή με την παράδοση στον μετα-φορέα ή τον πράκτορα. Αυτό ισχύει και αν έχουν συμφωνηθεί πληρωμένα μεταφορικά. (4) Ο αγοραστής γνωρίζει ότι η συμβατική ημερομηνία παρά-δοσης μπορεί να αναβληθεί, επειδή το αντικείμενο παράδο-σης είναι ένα φυσικό προϊόν του οποίου η (έγκαιρη) παραγωγή δεν μπορεί να ελεγχθεί πλήρως. Συνεπώς, η πωλήτρια έχει το δικαίωμα να παραδώσει μέχρι και δύο εβδομάδες πριν ή μέχρι τέσσερις εβδομάδες μετά τη συμβατική ημερομηνία παράδο-
σης. Πριν παρέλθουν οι τέσσερις εβδομάδες από τη συμβατι-κή ημερομηνία παράδοσης η πωλήτρια δε θεωρείται πως έχει καθυστερήσει, ακόμη και αν ο αγοραστής καλέσει προς συμ-μόρφωση. Οι προαναφερόμενοι κανονισμοί δεν ισχύουν εάν η πωλήτρια έχει εξασφαλίσει ή εγγυηθεί μια συγκεκριμένη ημε-ρομηνία παράδοσης. (5) Η πωλήτρια θα ειδοποιήσει τον αγοραστή για την προβλε-πόμενη εβδομάδα παράδοσης το αργότερο την τελευταία ερ-γάσιμη ημέρα της εβδομάδας που προηγείται της εβδομάδας παράδοσης. (6) Εάν ένα προϊόν δεν μπορεί να παραδοθεί μέσα στο χρονι-κό διάστημα που ορίζεται στο σημείο III.4, επειδή οι προμη-θευτές της πωλήτριας δεν παρέδωσαν τα συμφωνηθέντα αγα-θά, παρά τη συμβατική τους υποχρέωση και χωρίς υπαιτιότητα της τελευταίας, η πωλήτρια έχει το δικαίωμα να υπαναχωρήσει από τη σύμβαση, αν δεν έχει τη δυνατότητα να αντικαταστήσει τα αγαθά με άλλα ή αν τα ενδεχόμενα υποκα-τάσταστα δεν είναι κατάλληλα για τον αγοραστή (βλ. III.2). Στην περίπτωση αυτή, η πωλήτρια θα ενημερώσει αμέσως τον αγοραστή ότι τα παραγγελθέντα αγαθά δεν είναι πλέον διαθέ-σιμα και θα επιστρέψει αμέσως τυχόν πληρωμές.(7) Σε περίπτωση ανωτέρας βίας, που καθιστά για την πωλή-τρια, τους προμηθευτές ή τους βοηθούς της την εκπλήρωση των συμβατικών υποχρεώσεων προσωρινά αδύνατη ή εξαιρε-τικά δύσκολη, η πωλήτρια απελευθερώνεται από την υποχρέ-ωσή της καθ’ όλη τη διάρκεια του εμποδίου. Η πωλήτρια θα ει-δοποιήσει αμέσως τον αγοραστή σχετικά με την έναρξη και την προβλεπόμενη διάρκεια του εμποδίου. Αν η ανωτέρα βία διαρκέσει περισσότερο από τρεις μήνες, και τα δύο μέρη δικαι-ούνται να αποχωρήσουν από το συμβόλαιο.Ως ανωτέρα βία θεωρούνται όλα τα απρόβλεπτα γεγονότα ή γεγο νότα εκτός του ελέγχου της πωλήτριας, των οποίων οι επιπτώσεις στην εκπλήρωση της σύμβασης δεν μπορούν να αποτραπούν με προσπάθειες εντός λογικού πλαισίου. Αυτά πε-ριλαμβάνουν, μεταξύ άλλων, πόλεμο ή παρόμοια κατάσταση, αναταραχές, επαναστάσεις, εμπάργκο, ανώτερες διοικητικές αποφάσεις, εργασιακές κινητοποιήσεις, επιδημίες, πυρκαγιές, φυσικές καταστροφές και έλλειψη ενέργειας, νερού ή πρώτων υλών.
IV. Παρακράτηση κυριότητας και επιστροφή των μεταλ-λάξεων/μεταλλαγμένων βλαστών(1) Τα πωληθέντα εμπορεύματα παραμένουν στην ιδιοκτησία της πωλήτριας μέχρι την πλήρη εξόφληση όλων των υποχρεώ-σεων που απορρέουν από την επιχειρηματική σχέση της πω-λήτριας με τον αγοραστή (προϊόν με παρακράτηση κυριότη-τας). (2) Ο αγοραστής είναι υποχρεωμένος να μεταχειρίζεται με προσοχή το προϊόν με παρακράτηση κυριότητας, το οποίο βρίσκεται στην κατοχή της πωλήτριας. (3) Σε περίπτωση κατάσχεσης του προϊόντος με παρακράτη-ση κυριότητας ο αγοραστής οφείλει να ενημερώσει αμέσως την πωλήτρια. (4) Εάν ο αγοραστής αποκτήσει κυριότητα σε αγαθά με παρα-κράτηση κυριότητας ως αποτέλεσμα συνδυασμού, ανάμειξης, επεξεργασίας ή μετατροπής των αγαθών με παρακράτηση κυ-ριότητας (με άλλα αγαθά), τα συμβαλλόμενα μέρη συμφω-νούν ήδη, ότι ο αγοραστής, κατά τη χρονική στιγμή της από-κτησης κυριότητας μεταβιβάζει τη συνιδιοκτησία στην πωλήτρια σε μερίδιο ίσο με την αξία που αντιστοιχεί στα ποσά που τιμολογήθηκαν από την πωλήτρια για τα παραδοθέντα εμπορεύματα (συμπεριλαμβανομένου του ΦΠΑ, αν υπάρχει) (ιδιοκτησία με παρακράτησης κυριότητας). Η πωλήτρια απο-δέχεται την προσφορά του αγοραστή ήδη. Η (πρόσφατα) με-ταβιβασθείσα ιδιοκτησία με παρακράτησης κυριότητας αντι-καθιστά τα προηγούμενα προϊόντα με παρακράτηση κυριότητας και ο αγοραστής φυλάσσει δωρεάν την ιδιοκτησία με παρακράτησης κυριότητας για την πωλήτρια. Η μεταβίβα-ση της ιδιοκτησίας με παρακράτηση κυριότητας τελεί υπό δια-λυτική αίρεση μέσω της πλήρους εξόφλησης όλων των υπο-χρεώσεων που απορρέουν από την επιχειρηματική σχέση της πωλήτριας με τον αγοραστή. (5) Ο αγοραστής έχει το δικαίωμα περαιτέρω επεξεργασίας και εκποίησης των προϊόντων ή της ιδιοκτησίας με παρακρά-τηση κυριότητας, εφόσον ο αγοραστής δεν καθυστερεί την πληρωμή των υποχρεώσεών του έναντι της πωλήτριας. Αυτό δεν ισχύει για τις μεταλλάξεις/μεταλλαγμένους βλαστούς σύμ-φωνα με το σημείο VII.2.γ, τα οποία ο αγοραστής δεν μπορεί να εκποιήσει περαιτέρω και πρέπει, κατόπιν αιτήματος της πω-λήτριας να της παραδώσει αμέσως και με προσεκτική μεταβί-βαση της πλήρους ιδιοκτησίας «χέρι με χέρι», έναντι επιστρο-φής της (κατ’ αναλογία) τιμής αγοράς που αντιστοιχεί στις μεταλλάξεις/μεταλλαγμένους. Το χωρίο VII.2 παραμένει ανέ-παφο.(6) Σε περίπτωση πώλησης των προϊόντων ή της ιδιοκτησίας με παρακράτηση κυριότητας, ο αγοραστής αναθέτει στην πω-λήτρια τις απαιτήσεις που απορρέουν από τη μεταπώληση στους πελάτες του ή σε τρίτους στο ποσό του τελικού τιμολο-γίου (συμπεριλαμβανομένου του ΦΠΑ, εφόσον ισχύει) που η πωλήτρια τιμολόγησε στον αγοραστή για τα παραδοθέντα αγαθά παρακράτησης κυριότητας.(7) Ο αγοραστής εξακολουθεί να είναι εξουσιοδοτημένος να εισπράττει τις παραχωρημένες απαιτήσεις του χωρίου IV.6. Η εξουσία της πωλήτριας να εισπράξει η ίδια τις απαιτήσεις πα-ραμένει ανεπηρέαστη. Η πωλήτρια δεν θα εισπράξει τις απαι-τήσεις, εφόσον ο αγοραστής εκπληρώνει τις υποχρεώσεις πληρωμής του από τα εισπραχθέντα ποσά, δεν καθυστερεί πληρωμές, δεν έχει υποβληθεί αίτηση για κίνηση διαδικασίας αφερεγγυότητας ή δεν υφίσταται παύση πληρωμών. Αν συμ-βαίνει αυτό, η πωλήτρια μπορεί να απαιτήσει από τον αγορα-στή να αποκαλύψει τις αξιώσεις που έχουν εκχωρηθεί στην πωλήτρια για ασφάλεια και να παράσχει όλες τις απαραίτητες πληροφορίες για την είσπραξη. (8) Η πωλήτρια, κατόπιν αιτήματος του αγοραστή, είναι υπο-
χρεωμένη να αποδεσμεύσει τις αξιώσεις που έχουν εκχωρηθεί για ασφάλεια, στο βαθμό που η ρευστοποιήσιμη αξία των απαιτήσεων υπερβαίνει τις ασφαλισμένες απαιτήσεις της πω-λήτριας κατά περισσότερο από 10%.
V. Εγγύηση (1) Τα δικαιώματα εγγύησης του αγοραστή λόγω ελαττώμα-τος των παραδοθέντων αγαθών διέπονται από τις νομικές δια-τάξεις, εφόσον από τους ακόλουθους κανονισμούς VI δεν προ-κύπτει κάτι διαφορετικό. (2) Εκτός εάν έχει συμφωνηθεί κάτι διαφορετικό, η πωλήτρια δεν παρέχει εγγυήσεις για συγκεκριμένη ποιότητα των προϊό-ντων, ιδίως δε για την καθαρότητα της ποικιλίας προϊόντων. Το σημείο V.1 παραμένει ανέγγιχτο.
VI. Ευθύνη της πωλήτριας (1) Για προσωπικούς τραυματισμούς η πωλήτρια ευθύνεται σύμφωνα με τους νομικούς κανονισμούς. (2) Για αξιώσεις αποζημίωσης ή επιστροφής εξόδων του αγο-ραστή από παραβίαση καθήκοντος της πωλήτριας λόγω ελα-φράς αμέλειας, η πωλήτρια ευθύνεται μόνο για την συνήθως αναμενόμενη ζημιά. Η πωλήτρια επισημαίνει στον αγοραστή πως σε μεμονωμένες περιπτώσεις, π.χ. εάν μπορεί να προκύ-ψει μια ιδιαίτερα μεγάλη ζημιά, θα πρέπει να ασφαλιστεί ο ίδιος. (3) Για αξιώσεις αποζημίωσης ή επιστροφής εξόδων του αγο-ραστή από παραβίασης καθήκοντος της πωλήτριας εκ προθέ-σεως ή βαριάς αμέλειας, η πωλήτρια ευθύνεται σύμφωνα με τις νομικές προδιαγραφές. (4) Για τις αξιώσεις αποζημίωσης που οφείλονται σε καθυστέ-ρηση πληρωμής, που οφείλεται σε ελαφρά αμέλεια της πωλή-τριας, η τελευταία ευθύνεται, σε απόκλιση από το χωρίο VI.2, φράση 1, μόνο μέχρι το 5% της συμφωνηθείσας τιμής αγοράς (συμπεριλαμβανομένου του ΦΠΑ). (5) Κατά τα άλλα η ευθύνη της πωλήτριας αποκλείεται (η § 478 του Γερμανικού Αστικού Κώδικα παραμένει ανεπηρέαστη). Αυτό ισχύει και εφόσον η πωλήτρια απαλλάσσεται από την υποχρέωση παροχής υπηρεσιών σύμφωνα με το σημείο III.6. Ο αποκλεισμός και ο περιορισμός της ευθύνης ισχύουν και για την εξωσυμβατική ευθύνη. (6) Οι περιορισμοί ευθύνης και οι αποποιήσεις ευθυνών που προαναφέρθηκαν ισχύουν και προς όφελος των συνεργατών, των νόμιμων εκπροσώπων, των φορέων και των βοηθών της πωλήτριας.(7) Οι περιορισμοί ευθύνης και οι αποποιήσεις ευθυνών που προαναφέρθηκαν δεν ισχύουν για ζημιές που οφείλονται σε υπέρβαση της ημερομηνίας παράδοσης ή ελάττωμα των αγα-θών, εφόσον η πωλήτρια έχει επιβεβαιώσει ή εγγυηθεί μια κα-θορισμένη ημερομηνία παράδοσης (III.4 φράση 4) ή μια συ-γκεκριμένη ποιότητα εμπορεύματος.(8) Η πωλήτρια δεν ευθύνεται για τυχόν ζημιές που ο αγορα-στής θα μπορούσε να έχει αποφύγει, αν εφάρμοζε τα συνήθη πρότυπα υγιεινής και έδινε τη δέουσα προσοχή κατά τη συ-ντήρηση, την καλλιέργεια, την κατεργασία ή την επεξεργασία των παραδοθέντων αγαθών, αλλά δεν το έπραξε με υπαιτιότη-τά του. Αυτό ισχύει ιδίως για τις ζημιές που προκαλούνται από τη μόλυνση ή την προσβολή υγιών προϊόντων ή άλλων φυτών από εμπορεύματα που παραδόθηκαν από την πωλήτρια και που κατά τη μετάθεση του κινδύνου στον αγοραστή είχαν ήδη ασθενήσει ή προσβληθεί από ζιζάνια.
VII. Εμπορικά δικαιώματα (1) Η πωλήτρια χρεώνει ξεχωριστό τέλος για τη χρήση των δι-καιωμάτων πνευματικής της ιδιοκτησίας, και ιδίως των εμπο-ρικών δικαιωμάτων, όπως είναι οι ποικιλίες και τα εμπορικά σήματα, τα συγγραφικά δικαιώματα και τα πνευματικά δικαιώ-ματα φωτογραφίας. Αυτό το ξεχωριστό τέλος θα εμφανίζεται χωριστά στο τιμολόγιο (συμπεριλαμβανομένου του ΦΠΑ, αν υπάρχει). (2) Κανονισμοί προστασίας φυτικής ποικιλίας
(a) Τα προϊόντα που υπόκεινται σε προστασία φυτικής ποικιλί-ας μπορούν να καλλιεργηθούν, να υποστούν επεξεργασία και/ή να διανεμηθούν μόνο ως φυτά σε γλάστρες ή ως κομ-μένα άνθη. Ειδικότερα, ο αγοραστής δεν μπορεί να χρησι-μοποιήσει το προϊόν για πολλαπλασιασμό (παραγωγή πολ-λαπλασιαστικού υλικού) ή να το επεξεργαστεί για σκοπούς πολλαπλασιασμού, να το διαθέσει στην αγορά για τους σκοπούς που προαναφέρθηκαν και/ή να το εισάγει ή να το εξάγει ή να το παραδώσει σε τρίτους για τους σκοπούς που προαναφέρθηκαν ή να το φυλάξει για τους σκοπούς που προαναφέρθηκαν. Εάν ο αγοραστής παραβιάσει τις υπο-χρεώσεις παράλειψης που προαναφέρθηκαν, είναι υποχρε-ωμένος να αποζημιώσει την πωλήτρια. Η αποζημίωση που πρέπει να καταβληθεί από τον αγοραστή ανέρχεται σε 0,25 ευρώ για κάθε μεμονωμένο προϊόν που παράγεται, υπόκει-ται σε επεξεργασία, διατίθεται στην αγορά, εισάγεται, εξά-γεται, παραδίδεται σε τρίτους ή αποθηκεύεται παρά τις υποχρεώσεις παράλειψης που προαναφέρθηκαν. Ο αγορα-στής διατηρεί το δικαίωμα να αποδείξει ότι δεν έχει σημει-ωθεί ζημιά ή υποτίμηση ή ότι αυτή είναι σημαντικά χαμη-λότερη από την παραπάνω κατ 'αποκοπή τιμή. Τα περαιτέρω δικαιώματα της πωλήτριας παραμένουν ανεπη-ρέαστα. Ιδιαιτέρως, η πωλήτρια εξακολουθεί να δικαιούται να διεκδικήσει περαιτέρω απαιτήσεις παράλειψης, απομά-κρυνσης, ενημέρωσης και ρύθμισης τιμολογίων, καθώς και ανάκλησης, καταστροφής και αποζημίωσης κατά παράβα-ση των δικαιωμάτων πνευματικής ιδιοκτησίας της, ιδίως κατά παράβαση των δικαιωμάτων της επί φυτικής ποικιλί-ας, και οι απαιτήσεις αυτές παραμένουν ανεπηρέαστες από την προηγούμενη ρύθμιση.
(b) Ο αγοραστής είναι υποχρεωμένος να αναγράφει πλήρως την ονομασία της ποικιλίας στα τιμολόγιά του και σε άλλα εμπορικά έγγραφα.

κής ποικιλίας του κατόχου της φυτικής ποικιλίας της αρχι-κής ποικιλίας και επομένως δεν μπορούν να χρησιμοποιη-θούν για εμπορικούς σκοπούς χωρίς τη συγκατάθεση του κατόχου της φυτικής ποικιλίας. Ο αγοραστής θα ενημερώ-σει την πωλήτρια αμέσως μετά την ανακάλυψη μιας μετάλ-λαξης/ενός μεταλλαγμένου βλαστού και θα της παραχω-ρήσει το δικαίωμα να επιθεωρήσει τη μετάλλαξη στις συνήθεις εργάσιμες ώρες. Το χωρίο IV.5 παραμένει ανεπη-ρέαστο.
(d) Ο αγοραστής αγαθών με προστασία φυτικής ποικιλίας εί-ναι υποχρεωμένος να επιτρέψει σε άτομα εξουσιοδοτημέ-να από την πωλήτρια, ανά πάσα στιγμή και χωρίς προη-γούμενη κοινοποίηση, κατά τις συνήθεις εργάσιμες ώρες, να ελέγξουν την τήρηση των διατάξεων περί προστασίας φυτικής ποικιλίας, και ειδικότερα, να εισέλθουν στην επι-χείρηση του αγοραστή και να επιθεωρήσουν τους χώρους παραγωγής και ανάπτυξης. Περαιτέρω, ο αγοραστής αγα-θών με προστασία φυτικής ποικιλίας είναι υποχρεωμένος να παρέχει τις απαραίτητες πληροφορίες για την άσκηση του δικαιώματος ελέγχου. Κατόπιν αιτήματος του αγορα-στή, τα άτομα που εξουσιοδοτήθηκαν από την πωλήτρια οφείλουν να αποδείξουν τη νομιμοποίησή τους έναντι του αγοραστή μέσω έγγραφης ανάθεσης εντολής της πωλή-τριας. Η πωλήτρια οφείλει να φροντίσει ώστε οι επιθεωρη-τές να τηρήσουν την υποχρέωση απορρήτου τους σχετικά με λοιπά επιχειρησιακά μυστικά, για τα οποία λαμβάνουν γνώση στο πλαίσιο της επιθεώρησης.
(3) Κανονισμοί προστασίας εμπορικού σήματος (a) Η πωλήτρια έχει καταχωρήσει ένα εμπορικό σήμα σε κάθε
ποικιλία. Με την πληρωμή του εμπορεύματος και με την αποδοχή του τέλους που αναγράφεται στο τιμολόγιο, ο αγοραστής αποκτά το δικαίωμα και ταυτόχρονα την υπο-χρέωση, κατά τη διανομή των παραδοθέντων αγαθών, εκτός από την ονομασία της ποικιλίας να χρησιμοποιεί και το εμπορικό σήμα που της έχει αποδοθεί.
(b) Κατά τη χρήση του εμπορικού σήματος ο αγοραστής πρέ-πει να φροντίζει ώστε αυτό να είναι αναγνωρίσιμο και να ξεχωρίζει ευκρινώς από την ονομασία της ποικιλίας. Αυτό μπορεί να γίνει με την προσθήκη του συμβόλου καταχωρη-τών ® ή τουλάχιστον της συντομογραφίας TM στο εμπορικό σήμα, και με το να μη χρησιμοποιείται το εμπορικό σήμα σε απευθείας σχέση με την ονομασία της ποικιλίας. Αν συμπα-ραδίδονται ετικέτες της πωλήτριας, αυτές οφείλουν να χρησιμοποιούνται, έτσι ώστε να διασφαλιστεί η ομοιογε-νής εικόνα της ποικιλίας και του εμπορικού σήματος.
VIII. Επιλογή δικαίου, δικαιοδοσίας και γλώσσας(1) Δεν έχουν συμφωνηθεί προφορικές συμβάσεις ή παρεπό-μενοι περιορισμοί. Οποιεσδήποτε μετατροπές ή προσθήκες μιας σύμβασης αγοράς ή των παρόντων Γενικών Όρων Πώλη-σης και Παράδοσης, προκειμένου να έχουν νομική αποτελε-σματικότητα, πρέπει να γίνονται γραπτά.(2) Όλες οι συμβάσεις αγοράς, συμπεριλαμβανομένων και των παρόντων Γενικών Όρων Πώλησης και Παράδοσης, καθώς και όλες οι διαφορές που προκύπτουν από ή σε σχέση με αυτές τις
συμβάσεις (συμπεριλαμβανομένων των Γενικών Όρων Πώλη-σης και Παράδοσης) υπόκεινται αποκλειστικά, και αποκλείο-ντας τη σύγκρουση νόμων, στο ουσιαστικό δίκαιο της Ομο-σπονδιακής Δημοκρατίας της Γερμανίας. Η σύμβαση των Ηνωμένων Εθνών σχετικά με τη διεθνή πώληση αγαθών (CISG) δεν ισχύει. Αυτό ισχύει και για το ζήτημα της σύναψης, της λή-ξης και της συνέχισης μετά τη λήξη των συμβάσεων αγοράς.(3) Τόπος εκπλήρωσης όλων των υποχρεώσεων που απορρέ-ουν από όλες τις συμβάσεις αγοράς, συμπεριλαμβανομένων και αυτών των Γενικών όρων πώλησης και παράδοσης, είναι η Στουτγάρδη. (4) Περιοχή δωσιδικίας για όλες τις διαφορές που προκύπτουν από ή σε σχέση με όλες τις συμβάσεις αγοράς, συμπεριλαμβα-νομένων αυτών των Γενικών Όρων Πώλησης και Παράδοσης, είναι η Στουτγκάρδη - Μπαντ Κάνστατ, εκτός εάν άλλη περιο-χή δωσιδικίας είναι υποχρεωτική λόγω νομικών διατάξεων. Αυτό ισχύει και για το ζήτημα της σύναψης, της λήξης και της συνέχισης μετά τη λήξη των συμβάσεων αγοράς.(5) Ακόμα κι αν μια σύμβαση αγοράς και/ή οι παρόντες Γενικοί Όροι Πώλησης και Παράδοσης μεταφραστούν σε άλλη γλώσ-σα, μόνο η γερμανική έκδοση της αντίστοιχης σύμβασης αγο-ράς και η γερμανική έκδοση αυτών των Γενικών Όρων Πώλη-σης και Παράδοσης παραμένουν δεσμευτικοί.

THE STANDARD TERMS OF SALE AND DELIVERY OF SELECTA HELLAS IKE & SIA E.E.I. Area of application of the Standard Terms of Sale and Delivery(1) Only these Standard Terms of Sale and Delivery of Selecta
Hellas IKE & SIA E.E., to the exclusion of all others, shall apply to all sales (hereinafter referred to as “the sales contracts”) effected by Selecta Hellas IKE & SIA E.E. (hereinafter referred to as "the Seller") for the delivery of plants (hereinafter referred to as "the goods") to entrepreneurs (hereinafter re-ferred to as "the Buyer") within the scope of their commercial or independent professional activities. These Standard Terms of Sale and Delivery of Selecta Hellas IKE & SIA E.E. shall also apply to all future sales contracts and deliveries effected by the Seller to the Buyer even though they are not separately included.
(2) The Seller does not accept any contradictory or different busi-ness terms of the Buyer even if the Seller has not express-ly objected thereto in each individual case. This exclusion of the Buyer's business terms shall even apply if the Seller executes deliveries to the Buyer without reservation in the knowledge of these contradictory business terms.
II. Offers, prices, terms of payment and scope of services(1) The Seller’s offers are always subject to change.(2) All prices indicated in the Seller's offers are net prices ex
works excluding value added tax but including packaging and loading.
(3) In case the Seller ships the goods to the Buyer or to a place specified by the Buyer, the Buyer shall bear all shipment costs, especially all costs related to freight, insurance and customs duty. These costs shall be charged separately by the Seller. That also applies to deliveries executed from a place that is different to the Seller’s works.
(4) If the agreed delivery date will be more than 4 months after the conclusion of the contract and there have been increases in the costs of materials, raw materials, wages and salaries, transport or energy, the Seller shall be entitled to demand a higher price to take account of and to compensate for these higher costs.
(5) All payments by the Buyer shall be regularly executed to a bank account to be indicated by the Seller. Payments in cash to the Seller's staff shall only be accepted if an authorized representative of the Seller has confirmed in advance in writing that the Seller’s employee is authorized to accept such cash payments.
(6) The Buyer shall be entitled to setoff right or to the assertion of a right to retention against claims of the Seller resulting from the sale contract with the Buyer only if the counter-claims are legally established, undisputed or accepted by the Seller.
(7) Any consulting services provided by the Seller to the Buyer, including particularly consultancy referring to a careful treatment and processing of the goods, to their keeping and cultivation or to the use of growth retardants, fertilizers and pesticides, are not subject- matter of the sales contracts. Insofar as the Seller gives information regarding the handling of the goods, particularly regarding their keeping, cultivation, treatment and processing, this information shall be consid-ered as non-binding and does not exempt the Buyer from his duty to accomplish independently the keeping, cultivation, treatment and processing of the goods. The Buyer is obliged to independently take care of the keeping, cultivation, treat-ment and processing of the purchased goods and to ensure independently the compliance with any legal provisions, par-ticularly regarding the use of growth retardants, fertilizers and pesticides.
(8) The Seller makes the Buyer aware of the instructions regarding the keeping, cultivation treatment and processing of the delivered plants which are attached to all deliveries. The Buyer can also download the instructions regarding the keeping, cultivation treatment and processing of the deliv-ered plants from the Seller’s website www.selecta-one.com or request them directly from the Seller.
III. Delivery and delivery time(1) The Seller shall have the right to execute partial deliveries to
a reasonable extent.(2) If the agreed goods are not available (particularly the agreed
variety) according to III.6 the Seller shall have the right to deliver comparable goods to the Buyer. If the Buyer is not interested in the comparable goods for objectively justified reasons, the Buyer may rescind the contract.
(3) When the goods are shipped, the risk of their accidental deterioration and their accidental loss shall pass to the Buyer when they are handed over to the carrier or forwarding agent. This shall also apply if delivery has been agreed at no charge to the Buyer.
(4) The Buyer shall be aware that the delivery date agreed in the sales contract can be postponed given the fact that the subject-matter of the delivery is a natural product and that its (timely) production cannot be totally controlled. Therefore, the Seller has the right to deliver the goods already up to two weeks before the delivery date agreed upon in the sales contract and up to four weeks after the delivery date agreed upon in the sales contract. Prior to the expiration of four weeks after the delivery date agreed upon in the sales contract the Seller shall not be in default even if the Buyer sends a reminder to the Seller. The afore-mentioned provisions shall not apply in as far as the Seller has promised or guaranteed a fixed delivery date.
(5) The Seller shall inform the Buyer about the estimated deliv-ery week by no later than the last working day of the week preceding the delivery week.
(6) If, given the fact that the Seller’s suppliers have not supplied the Seller without the Seller’s fault and notwithstanding the supplier’s contractual obligations, the goods cannot be delivered within the delivery schedule mentioned in III.4, the Seller shall be entitled to withdraw from the sales contract in as far as no replacement delivery can be made or if this replacement delivery would not be reasonable to the Buyer (see III.2). In this case the Seller shall immediately inform the Buyer that the ordered goods are not available anymore and shall immediately refund any payments already effected by the Buyer.
(7) If a case of Force Majeure makes it temporarily impossible
for the Seller, for its suppliers or for its subcontractors or that unreasonably impede to comply with their contractual provisions, the Seller shall be exempted from its service obligations for the period of such hindrance. The Seller shall immediately notify such a hindrance and its estimated duration to the Buyer. In case the event of Force Majeure lasts more than three months both contractual parties have the right to terminate the contract. Force Majeure shall mean any unpredictable events or circumstances or such events or circumstances that are beyond the Seller’s control and whose consequences on the fulfilment of the contractual obligations could not be prevented by reasonable efforts of the Seller. Such events or circumstances include, inter alia, wars or warlike conditions, riots, revolution, embargo, administrative orders, industrial actions, epidemics, fire, natural disasters as well as lack of energy, water or raw materials.
IV. Reservation of title and return of mutants/sports(1) The sold goods shall remain the property of the Seller (goods
under reservation of title) until the full payment of all liabil-ities under the business relationship between the Seller and the Buyer.
(2) The Buyer must treat the goods under reservation of title which are the property of the Seller with good care.
(3) If the goods under reservation of title are seized by third parties the Buyer must notify the Seller immediately.
(4) If due to a process of combining, mixing, processing or restructuring the goods under reservation of title the Buyer acquires ownership of the goods under reservation of title, the parties agree upon already now that, at the time of transfer of ownership, the Seller shall transfer to the Buyer a co-ownership of the goods under reservation of title to the share of the value which corresponds to the amounts charged by the Seller to the Buyer (including VAT if applicable) for the delivered goods (reserved property). The Seller shall accept the Buyer’s offer already now. The (newly) transferred reserved property supersedes the previous goods under reservation of title and the Buyer shall keep the reserved property on behalf of the Seller free of charge. The transfer of reserved property is subject to a resolving condition by the complete settlement of all outstanding claims resulting from the business relationship between the Seller and the Buyer.
(5) The Buyer shall have the right to process and sell the goods under reservation of title within the framework of proper business dealings provided the Buyer is not in delay with the payment of his obligations against the Seller. The afore-mentioned shall not apply to mutants/sports according to VII.2.c, which the Buyer may not sell and which the Buyer, upon request of the Seller, shall hand over to the Seller pari passu against payment of the purchase price corresponding to the mutants/sports transferring providently the complete ownership to the Seller; VII.2 remains unaffected.
(6) By selling the goods under reservation of title or the reserved property the Buyer assigns to the Seller all claims resulting from the resale against its purchasers or third parties in the amount of the invoice (including VAT if applicable) that the Seller has charged to the Buyer for the delivered goods under reservation of title.
(7) The Buyer shall remain authorised to collect the transferred claim, according to IV.6.; the Seller’s authorization to collect the claims itself remains unaffected. The Seller shall not collect the claims, as long as the Buyer comply with its payment obligations, does not get into default of payment and no request for opening insolvency procedure has been filed or payments are suspended. If so, the Seller is entitled to request that the Buyer discloses the claims assigned to the Seller as a security and gives all information necessary for their collection.
(8) Upon request of the Buyer, the Seller must release the claims assigned as a security if the realised value of the claims exceeds the sum of the Seller's secured claims by more than 10 %.
V. Guarantee(1) The Buyer's rights under guarantee due to a defect in the
delivered goods shall be based on the statutory provisions in as far as nothing to the contrary results from the following provisions in clause VI.
(2) If nothing to the contrary has been agreed upon the Seller does not guarantee any specific characteristic of the goods; the Seller does particularly not guarantee that the delivered goods correspond to a specific variety; V. 1 shall remain unaffected.
VI. Seller's liability(1) According to the statutory provisions the Seller shall be liable
for damages from bodily injury.(2) If the Buyer asserts claims for damages or claims to compen-
sation for expenses due to slight negligence on the part of the Seller, the Seller shall only be liable for a damage which can reasonably be expected. The Seller draws the Buyer's atten-tion to the fact that insurance must be taken out individually by the Buyer, e.g. if there is any possibility of substantial damage occurring.
(3) If the Buyer asserts claims for damages or claims for com-pensation due to an intentional or grossly negligent breach of duty on the part of the Seller, the Seller shall be liable according to the statutory provisions.
(4) Contrary to VI. 2. sentence 1, the Seller shall only be liable for damages due to default caused by slight negligence on the part of the Seller, to the sum of 5 % of the agreed purchase price (including VAT).
(5) In all other cases the Seller's liability shall be excluded [Section 478 of the German Civil Code (BGB) shall remain unaffected.] This shall also apply in as far as the Seller is not obliged to effect delivery in accordance with III. 6. The exclu-sion and limitation of liability shall also apply to non-contrac-tual liability.
(6) The afore-mentioned provisions limiting and excluding liability also apply in favour of the Seller’s employees, legal representatives, institutions and subcontractors.
(7) The afore-mentioned provisions limiting and excluding liability shall not apply to damages caused by the failure to comply with a delivery date or a defect in the goods in as far
as the Seller has given assurance or guarantee regarding the delivery date (III.4. sentence 4) or the quality of the goods.
(8) The Seller shall not be liable for damages that the Buyer could have avoided, but culpably omitted, by applying usual sanitary standards and duty of care regarding keeping, cultivation, treatment and processing of the delivered goods. This applies, in particular, for damages caused by infection or infestation of healthy goods or other plants by delivered goods, that already had been infected or infested at the time the risks have passed to the Buyer.
VII. Intellectual property rights(1) The Seller shall charge a separate fee for using its intellectual
property rights including particularly industrial property rights like plant breeders’ rights and trademarks, copyrights and image rights. This fee shall be displayed separately on the invoice (including VAT if applicable).
(2) Provisions regarding Plant Breeders’ Rights (a) The goods protected by plant breeders’ rights may only be
cultivated and processed as potted plants or cut flowers and/or sold as such. The Buyer may particularly not use or process the goods for propagation purposes (produce propagating material), circulate them for the said purpos-es nor import or export them or give them to third parties for the afore-mentioned purposes. If the Buyer infringes the afore-mentioned duties to refrain the shall be obliged to pay compensation to the Seller. The compensation to be paid by the Buyer amounts to EUR 0.25 per each plant produced, processed, circulated, imported or exported, given to third parties or stored contrary to afore-men-tioned duties to refrain. The Buyer shall reserve the right to provide evidence that a damage or a loss of value has not occurred at all or that it is significantly lower than the mentioned lump sum. Further rights of the Seller shall remain unaffected. In case of infringement of rights, especially of intellectual property rights, the Seller shall particularly be entitled to enforce further claims regarding the access to information, rendering of accounts as well as recall, destruction, and compensation. These claims shall be unaffected by the afore-mentioned provisions.
(b) The Buyer is obliged to indicate the correct variety denomination on all invoices and other business papers.
(c) The Buyer acknowledges that mutations/sports found in the goods are subject to plant breeders’ rights of the own-er of the protected varieties as being essentially derived varieties and that for this reason they may not be exploited for commercial purposes without the consent of the owner of the rights of the protected varieties. The Buyer shall give notice to the Seller immediately after having detected such mutation/sport and to entitle the Seller to inspect the mutation/sport during normal business hours. IV. 5 shall remain unaffected.
(d) The Buyer of goods protected by plant breeders’ rights shall be obliged to allow persons authorised by the Seller to control the protected varieties at any time and without prior announcement during the normal business hours and to particularly allow these persons to enter the Buyer’s premises and to inspect the production and development facilities. Furthermore, the Buyer of goods protected by plant breeders’ rights shall be obliged to provide the information necessary to assert the right to control the goods. At the Buyer's request the persons engaged by the Seller shall prove their authorisation to the Buyer by showing a written authorisation from the Seller. The Seller undertakes to ensure that the controlling persons maintain confidentiality regarding other company secrets which they may get knowledge of within the framework of their inspection visits.
(3) Provisions regarding trademark rights (a) The Seller has assigned to each of its varieties a certain
trademark. By paying the goods and the fee mentioned on the invoice the Buyer shall become entitled and obliged to use, in addition to the variety denomination, the trademark corresponding to the variety when selling the respective variety.
(b) When using the Seller’s trademark the Buyer has to ensure the proper identification of the trademark as such and that it is clearly distinguishable from the variety denomination. This can be done by adding ® or at least TM to the trademark and by avoiding that the trademark is used in direct connection with the variety denomination. The Buyer shall only use labels delivered by the Seller to ensure a uniform appearance of variety and the trade-mark.
VIII. Applicable law, place of jurisdiction and language(1) Oral and collateral agreements have not been made. Any
amendments and supplements to an existing sales contract as well as of these Standard Terms of Sale and Delivery must be agreed upon in writing to become legally valid.
(2) All sales contracts including these Standard Terms of Sale and Delivery as well as all dispute arising from or in connection with such sales contracts (including the Standard Terms of Sale and Deliver) shall be governed by the law of the Federal Republic of Germany to the exclusion of any conflict of laws. The CISG (UN sales law) shall not apply. This also ap-plies to the conclusion, the termination and the continuation after the termination of the sales contracts.
(3) The place of performance for all obligations under all sales contracts and under these Standard Terms of Sale and Deliv-ery shall be Stuttgart.
(4) Insofar as no other place of jurisdiction is mandatory according to legal provisions, Stuttgart – Bad Canstatt is agreed upon as place of jurisdiction for all disputes arising from or in connection with any sales contract including these Standard Terms of Sale and Delivery. This also applies to the conclusion, the termination and the continuation after the termination of the sales contracts.
(5) Even if a sales contract and/or these Terms of Sale and Deliv-ery are translated into another language, the German version of the respective contract and the German version of these Standard Terms of Sale and Delivery shall solely be binding.
