Preamble - Important reminderThese general terms and conditions of sale comply with the rules of the profession, national and international customary practices and in the absence of any special agreements duly approved, apply expressly to all sales of vegetable, flower, medicinal and aromatic seed, including seed delivered in bulk, and in particular to sales completed with all experienced and knowledgeable professionals (hereinafter referred to as «purchaser(s)») whose activity consists, in particular, in the resale to home gardeners (in other words the ones who use the said seeds for private, family or leisure use only, to the exclusion of any professional use).The descriptions, illustrations, recommendations, suggestions, opportunities, cycles of vegetation or earliness which may be presented on any media (catalogues or other commercial documents) are the results of our observations, and are put forward in good faith for indicative purposes exclusively, and consequently must not in any event be treated as exhaustive, or as guaranteeing cropping yield and/or result, prejudging any specific factors or circumstances (present or future), and, more generally, amounting to any contractual commitment whatsoever, or in any way incurring the seller’s liability.The fact of placing an order therefore implies the purchaser’s acceptance of the general terms and conditions of sale printed on catalogues, brochures, leaflets, invoices, delivery notes, price lists, etc., or any other commercial document from CLAUSE (hereinafter referred to as “seller”), where these exist, notwithstanding any provision to the contrary in the purchaser’s general purchasing terms and conditions, purchase orders and other documents, including commercial documents.

Article 1 - Warranties1.1. The seller warrants to the purchaser that he will supply him with goods of a fair, healthy and merchantable quality in accordance with the state of the art technical knowledge at the time of production and in compliance with the regulations and customary practices in the seed trade. 1.2. In view of the nature of the products sold (live products subject to a large number of external hazards when used), the results obtained do not depend solely on the variety and the quality of the seed. Consequently, the purchaser shall be responsible for the communication of the necessary information to its own customers so that they can determine their own conditions under which the seed is used, and specifically satisfy themselves of the suitability of their exploitation conditions and local geographical conditions, intended period of cultivation, soil and resources (such as technical knowledge and experience, cultivation techniques and operations), materials (such as tests and control methods) and equipment and, more generally, their agronomic, climatic, atmospheric, sanitary, environmental and economic context with the crops, techniques and variety presented.That being so, the seller’s liability shall be incurred, partially or wholly, only in the case of an acknowledged established defect or non-compliance for which a potential legal actions would not have lapsed and in no case, particularly insofar as concerns authenticity or varietal purity, specific purity, germinative capacity, compliance with resistance to strains or races of disease recognised to date, may exceed the total amount of the goods delivered, including the justified costs arising from returning the said goods.Moreover, the seller shall not be held liable in case of problems identified in the use of untreated seeds, which by definition do not have the same treatment and preservation process than the one applied to treated seeds regarding any issue relating to seed raising, diseases, parasites, etc. or any other alteration in the development of the variety. The purchaser acknowledges and accepts the risks in connection with the order of untreated seeds. 1.3. Unless there is a special agreement with the seller, the various varieties of seeds are delivered in bulk to the purchaser for the purposes of sale and/or resale exclusively under the purchaser’s varietal name and trademark. In case of sale by the buyer of packed seeds, the purchaser expressly agrees not to remove any seed (which is sold to him in its original packaging) from its packaging and/or sachets for the purposes of repackaging and/or processing the seed in any way whatsoever (coating, film coating, treatment or other), and/or reselling the same in open packaging. He undertakes to have his own customers abide by this clause. In the event that the purchaser or his own customers do not comply with this obligation, the seller shall not be held liable in any way whatsoever for the goods delivered by him, and the purchaser shall accept full liability for the consequences which may arise from failure to comply with this obligation.The seller will also not be liable for any damage that might arise from its packing and packaging whatsoever.1.4. An approximate number of seeds sold is given for each variety by the seller to the purchaser, for information purpose exclusively. Indeed, such number may vary due to seed lot, crop results or any other reason whatsoever.

1.5. The goods are unsuitable for human or animal consumption and are delivered by the seller for use by the purchaser or his own customers, in accordance with their intended purpose. Consequently, in no case may the seller be held liable for any use of the said goods that does not comply with their intended purpose or for any consequences of such noncompliant use. Similarly, any multiplication, production, reproduction and/or re-export of the goods by the purchaser or his own customers is formally prohibited.At any time, the seller may check that the foregoing provisions are fully respected, without prejudice to any other action by the seller. The purchaser undertakes to ensure that his own customers comply with this clause.1.6. Regardless of the reason, the seller will not accept any return of goods except with his prior written agreement, in which case, all related costs and risks shall be borne by the purchaser exclusively.

Article 2 - Retention of ownership CLAUSE2.1. The seller formally retains ownership of the goods delivered until their price and applicable penalties and additional costs have been paid in full by the purchaser.In the meaning of this provision, the remittance of bills of exchange or any other instrument creating an obligation to pay, does not constitute payment. Any deposit paid shall remain acquired by the seller, as a fixed-sum compensation, without prejudice to any other action that the seller may take.2.2. Within the scope of the normal operation of his business, the purchaser is authorised to resell the goods delivered, but he may not assign the same in pledge or transfer ownership thereof as a security. In the event the purchaser resells them, he thereby assigns to the seller all the receivables arising for the benefit of the purchaser generated by the resale to the third party purchaser.2.3. The authorisation to resell shall be withdrawn automatically from the purchaser in the event of his being subject to cessation of payments.In the case of confiscation or any other action by a third party, the purchaser is obliged to inform the seller immediately and will bear the cost of the risks whatever they may be, notwithstanding the application of this clause, including in the case of loss or destruction, and this shall apply with effect from delivery of the goods. He shall also pay the costs of insurance.

Article 3 - Case of force majeureOrders shall not be carried out in a case force majeure.As a non-limitative example, the following are considered as cases of force majeure, atmospheric, climatic, environmental disturbances, acts of war, riots, strikes, epidemic, fires and accidents in any firms participating in the production (including cultivation accidents of any nature leading to alterations in the quantity and quality of the seed sold) and the distribution of the seed.

Article 4 - Intellectual Property4.1. These general terms and conditions of sale may not be interpreted as granting the purchaser any intellectual right/title over the seller’s goods as well as over the packaging and/or media and/or related documents and/or intellectual rights/titles and/or distinctive signs, which are the property of the seller or which the seller operates or uses in the context of his activity.4.2. The purchaser shall refrain from hiding, deleting or modifying, in any way whatsoever, intellectual rights/titles as well as distinctive signs that appear on the packaging of the goods delivered by the seller.4.3. The purchaser undertakes to inform the seller immediately, and by any means, of any infringement of his property rights and/or intellectual property rights and/or titles and/or distinctive signs (or the ones he operates or uses in the context of his activity and to co-operate fully with the seller.4.4. At any time, the seller may check that the foregoing provisions are fully respected, without prejudice to any other action by the seller. The purchaser undertakes to ensure that his own customers comply with this clause. The purchaser expressly authorizes the visit of a person appointed or mandated by the seller to control the respect of the provisions of these terms and conditions of sales, especially the provisions relating to intellectual property and the preservation of the quality of the goods. To do so, the purchaser agrees to facilitate free access to its premises including but not limited to its greenhouses. The seller can also consult all relevant documents in this regard. In case of resale of the goods to third parties, the purchaser shall inform such third parties of the obligations described here above.

Article 5 - Orders5.1. Once the seller has confirmed the order, orders will be met insofar as possible, and the goods shall be delivered, insofar as possible, on the dates requested by the purchaser.Furthermore, the seller recommends that purchasers give very accurate shipping instructions. The seller declines all liability if errors occur through lack of information.5.2. In the case of a partial or nil crop or production, caused by a case of force majeure in particular, a partial or total reduction will be applied to the order.Deliveries will be made according to supplies and availabilities in sufficient quantity and quality. In the case of partial delivery, products will be invoiced in proportion to the quantities delivered.Accordingly, no compensation (including in particular all damages of any nature whatsoever) may be claimed, particularly for partial delivery, non-delivery or late delivery.

5.3. The seller will only deliver seed once a germination test has been carried out on the batch concerned. In the event that the purchaser nevertheless asks the seller to deliver the seed before the germination test has been completed, the purchaser accepts full liability for the consequences of the seed batch in terms of germination.

Article 6 - Risks6.1. The goods travel at the purchaser’s risk, including if they travel in accordance with the purchaser’s written instructions, and even if sent carriage paid or ex-works or any other Incoterm (INCOTERMS 2010) and regardless of the means of carriage: by road, rail, boat, air, post, etc.6.2. Similarly, unless there are special terms and conditions, any delay in delivery/loss/damage caused to the goods during shipment and all consequences shall be borne exclusively by the purchaser.The consignee is obliged to confirm his reasoned reserves to the haulier, by letter sent in recorded delivery with acknowledgment of receipt posted within three days of receipt of the goods or within any other time limit stipulated by the governing legislation. No action can be taken against the haulier if these formalities are not fulfilled.

Article 7 - Time limits for complaintsAny complaint concerning the external appearance and specific purity should be made within twelve days following arrival of the goods, on the germinative capacity within forty-five days following arrival of the goods, on the authenticity and varietal purity within the normal time limits for sowing and inspection immediately following the delivery date. In case of sale by the buyer of packed seeds, no complaint will be accepted by the seller in the event the seed was repackaged by the purchaser or by his own customers.

Article 8 - Prices8.1. The prices of the goods are fixed by reference to the price lists published and communicated by the seller. According to the practices of the profession and given the technical and commercial constraints, the price of seeds that are not subject to such publication is subject to negotiation by agreement between the purchaser and the seller. Unless there is a special condition, the prices applicable shall be those in force on the day the order is confirmed. In any case, the purchaser will fix himself his sales prices to his own customers. 8.2. The prices are understood to be excluding taxes, ex-works (INCOTERMS 2010) and excluding packaging, unless otherwise state on the invoice. 8.3. Unless there are special terms and conditions, all taxes, transport costs, insurance, certifications, authorisations, bank charges and wrapping and packaging charges shall appear separately on the invoice issued by the seller.8.4. Each order shall be subject to administrative charges as indicated in the seller’s pricing terms. As an example, a minimum overall amount for each order, a minimum value per variety for each order, the costs of the certificates of origin, phytosanitary certificates, and the Orange International Seed Batch Certificates are given in these pricing terms and conditions.8.5. The prices applied by the seller are valid for a period of twelve consecutive months and the seller is at liberty to modify them at any time during this period.

Article 9 - Payment9.1. Any payment is treated as having been made on the date on which the purchaser has made funds available to the seller (Article L. 441-3, paragraph 4 of the French Commercial Code). All the seller’s goods and the corresponding invoices are payable at the latter’s registered place of business.9.2. Unless there are special terms and conditions or binding provisions under the governing legislation, payments are made at 30 days as from the date of the invoice, in accordance with the payment terms stated on the invoice. With regard to purchasers who have had one or more payment incidents or more generally a dispute and who have cleared their account, purchasers who have been the subject of collective proceedings or any other similar proceedings in accordance with current governing legislation, and new purchasers, orders will be delivered for one year against immediate payment on delivery date or against payment in advance only, as the seller so wishes, because of the significant risks of insolvency, unless the seller has stipulated special terms and conditions, particularly on grounds of favourable information on the purchaser’s solvency. Furthermore, and at all events, in case of unfavourable information on a purchaser’s solvency, delivery will be made against immediate payment on the date of delivery or against payment in advance only, as the seller so wishes, unless the seller has stipulated special terms and conditions.9.3. The seller will apply a discount of 0.5% of the invoiced amount (excluding VAT) in the event the purchaser pays in full within 15 days from the date of invoice, unless immediate or advance payment is required.

9.4. In the case of late payment, partial payment or non payment, the seller may suspend or cancel all current orders until all sums due to him by the purchaser have been paid in full, without prejudice to any other means of action and/or damages and any interests and costs (including administrative, legal, statutory and judicial costs that the seller may support for the recovery of the sums due by the purchaser) that the seller reserves the right to claim. According to legal and statutory requirements, in addition to the other amounts and costs mentioned hereinabove, a lump sum amount of 40 €uros shall have to be automatically paid to the seller in the case of late payment. The purchaser may not take any action against the seller and/or claim any compensation due to the said suspension or cancellation. Any sum not paid by the due date stated on the invoice shall lead to the penalties for late payment being applied immediately, without the need for any formality, calculated on the total amount of the invoice, including all taxes, at the rate of interest applied by the European Central Bank (ECB) plus 10 percentage points (to its most recent refinancing operation until December 31st, 2012 ; as on January 1st for the first civil semester and on July 1st for the second civil semester as from January 1st 2013), and payable on the day following the payment date stated on the invoice, as well as the immediate requirement to pay all sums due for other deliveries. These terms are subject to change in accordance with the laws in force.9.5. In accordance with the provisions on penalty clauses at articles 1226 and ff of the French Civil Code, any invoice not paid in full by its due date at the latest and recovered by the seller’s legal department shall immediately and without the need for any formality be subject to a fixed-charge penalty of 15% of the amount of the unpaid sums.

Article 10 - ResistanceSusceptibility is the inability of a plant variety to restrict the growth and development of a specified pest.Resistance is the ability of a plant variety to restrict the growth and development of a specified pest and/or the damage they cause when compared to susceptible plant varieties under similar environmental conditions and pest pressure. Resistant varieties may exhibit some disease symptoms or damage under heavy pest pressure.Two levels of resistance are defined.• High resistance (HR): Plant varieties that highly restrict the growth and development of the specified pest under normal pest pressure when compared to susceptible varieties. These plant varieties may, however, exhibit some symptoms or damage under heavy pest pressure.• Intermediate resistance (IR): Plant varieties that restrict the growth and development of the specified pest but may exhibit a greater range of symptoms or damage compared to high resistant varieties. Intermediately resistant plant varieties will still show less severe symptoms or damage than susceptible plant varieties when grown under similar environmental conditions and/or pest pressure.It is to be noted that if a resistance is claimed in a plant variety it is limited to the specified biotypes, pathotypes, races or strains of the pest.If no biotypes, pathotypes, races or strains are specified in the resistance claim for the variety, it is because no generally accepted classification of the cited pest by biotype, pathotype, race of strain exists. New biotypes, pathotypes, races or strains that may emerge are not covered by the original resistance claim.Immunity is when a plant is not subject to attack or infection by a specified pest.

Article 11 - Applicable lawPlace of jurisdiction11.1. These general terms and conditions of sale, including the operations of sales, are subject to French law which alone is applicable.11.2. For any dispute relating to the enforcement and the interpretation of the said general terms and conditions of sale, the Courts in the seller’s place of registered address shall have sole jurisdiction, even in the case of emergency interim proceedings, the introduction of a third party for guarantee or multiple defendants. In the case of an invoice unpaid on the due date thereof, the seller shall have the right to serve a writ against the purchaser in the purchaser’s place of registered address.

Article 12 - Data protectionIn accordance with the amended French Data Protection Act No. 78-17 of 6 January 1978, the purchaser has a right of access, rectification and deletion of his personal data that are subject to data processing by the seller. The seller will use the information provided by the purchaser for administrative and commercial management purposes. If the purchaser wishes to have any of his personal data changed or deleted, he can send a letter to this effect to the seller to the following address: CLAUSE, Rue Louis Saillant, Z.I. Article 1 - Garanties1.1. Le vendeur garantit à l’acheteur la fourniture d’une marchandise loyale, saine et marchande, et ce, en l’état de la connaissance technique lors de la période de production, conformément à la réglementation et aux usages du commerce des semences.1.2. En raison de la nature des produits vendus (produits vivants soumis à de nombreux aléas extérieurs lors de leur utilisation), les résultats obtenus ne dépendent pas uniquement de la variété et de la qualité de la semence. Par conséquent, l’acheteur est responsable de la communication à ses propres clients de l’information nécessaire afin de permettre à ceux-ci de déterminer les conditions d’utilisation des semences, et afin qu’ils puissent s’assurer notamment de l’adéquation de leurs conditions d’exploitation, de leurs conditions géographiques locales, de la période de culture envisagée, de leurs sols, de leurs moyens (tels que connaissances et expériences techniques, techniques et opérations culturales), matériels (tels que tests et méthodes de contrôle) et équipement et de façon plus générale de leur contexte agronomique, climatique, atmosphérique, sanitaire, environnemental et économique avec les cultures, les techniques et les variétés présentées.Dès lors, la responsabilité du vendeur ne pourra être retenue, partiellement ou totalement, qu’en cas de vice ou de non conformité reconnu(e), établi(e) et dont l’action n’est pas prescrite, et ne pourra en aucun cas, et en particulier en matière d’authenticité ou de pureté variétale, de pureté spécifique, de faculté germinative, de conformité aux résistances aux souches ou races de maladies reconnues à ce jour, dépasser le montant total de la marchandise livrée, en ce compris les frais justifiés résultant du retour de ladite marchandise. En outre, la responsabilité du vendeur ne saurait en aucun cas être engagée du fait de problèmes constatés lors de l’utilisation de semences non traitées qui, par définition, ne bénéficient pas du même procédé de traitement et de préservation que celui procuré aux semences traitées, relatifs à tout problème de levée, maladie, parasites, etc. ou à toute autre altération dans le développement de la variété. L’acheteur reconnaît et accepte les risques liés à la commande de semences non traitées.1.3. Sauf accord particulier du vendeur, les différentes variétés de semences sont livrées en vrac à l’acheteur aux fins de vente et/ou revente exclusivement sous la dénomination variétale et la marque commerciale de l’acheteur. En cas de livraison par le vendeur de semences conditionnées, l’acheteur s’interdit expressément de déconditionner et/ou de dessacher les semences qui lui sont vendues sous emballage d’origine en vue de re-conditionnement et/ou d’effectuer sur celles-ci une ouvraison quelle qu’elle soit (enrobage, pelliculage, traitement ou autres) et/ou de la revente en emballages ouverts. Il s’engage à faire respecter cette clause auprès de ses propres clients. En cas de non-respect de cette obligation de la part de l’acheteur ou de la part de ses propres clients, la responsabilité du vendeur ne pourra en aucune manière être engagée pour les marchandises livrées par celui-ci, et l’acheteur assumera l’entière responsabilité des conséquences découlant du non-respect de cette obligation.

Le vendeur ne pourra également être tenu responsable des dommages résultant de ses emballages et conditionnements quels qu’ils soient.1.4. Un nombre approximatif de semences vendues sera communiquée, pour chaque variété, par le vendeur à l’acheteur, à titre d’information exclusivement, ce nombre pouvant en effet varier en raison, entre autres, des lots de semences concernés et des résultats des récoltes.1.5. Les marchandises sont impropres à la consommation humaine ou animale et sont livrées par le vendeur pour un usage par l’acheteur ou ses propres clients conforme à sa destination. En conséquence, le vendeur ne pourra en aucun cas être tenu responsable d’un usage desdites marchandises et de ses conséquences non conforme à sa destination. De même, toute multiplication, production et/ou reproduction des marchandises par l’acheteur ou ses propres clients est formellement interdite. À tout moment, le vendeur pourra opérer les vérifications nécessaires quant au bon respect des dispositions ci-avant, sans préjudice de toute autre action du vendeur. L’acheteur s’engage à faire respecter cette clause auprès de ses propres clients.1.6. Le vendeur n’acceptera, qu’elle qu’en soit la raison, aucun retour de marchandises sauf accord préalable et écrit de sa part, auquel cas tous frais et risques y afférents seront à la charge exclusive de l’acheteur.

Article 2 - Clause de réserve de propriété 2.1. Le vendeur se réserve expressément la propriété des marchandises livrées jusqu’au paiement intégral de leur prix en principal, intérêts, pénalités, frais et accessoires éventuels par l’acheteur.Ne constituent pas des paiements, au sens de la présente disposition, la remise de traites, ou de tout titre créant une obligation de payer. Tout acompte remis restera acquis au vendeur, à titre d’indemnisation forfaitaire, sans préjudice de toute autre action que le vendeur pourra intenter.2.2. L’acheteur est autorisé, dans le cadre de l’exploitation normale de son établissement, à revendre les marchandises livrées, mais il ne peut en aucun cas consentir une quelconque sûreté sur les marchandises, ni en transférer la propriété à titre de garantie. En cas de revente par l’acheteur, celui-ci cède ainsi au vendeur toutes les créances nées au profit de l’acheteur provenant de la revente au tiers acheteur.L’autorisation de revente est retirée automatiquement à l’acheteur en cas de cessation de paiement de celui-ci.2.3. En cas de saisie ou de toute autre intervention d’un tiers, l’acheteur est tenu d’en aviser immédiatement le vendeur et supportera la charge des risques quels qu’ils soient, nonobstant l’application de la présente clause, y compris en cas de perte ou de destruction, et ce dès la livraison des marchandises. Il supportera également les charges de l’assurance.

Article 3 - Cas de force majeure Les commandes ne seront pas exécutées en cas de force majeure.Sont considérés comme cas de force majeure, à titre d’exemple non limitatif, les perturbations atmosphériques, climatiques, environnementales, les faits de guerre, émeutes, épidémies, grèves, incendies et accidents dans toutes les entreprises intervenant dans la production (dont les accidents de culture de toute nature engendrant des modifications de quantité et qualité des semences vendues) et la distribution des semences.

Article 4 - Propriété Intellectuelle4.1. Les présentes conditions générales de vente ne peuvent être interprétées comme conférant à l’acheteur un quelconque droit/titre de propriété intellectuelle sur les marchandises du vendeur ainsi que sur tous emballages et/ou supports et/ou documents y afférents et/ou droits/titres de propriété intellectuelle, et/ou signes distinctifs, qu’ils soient la propriété du vendeur ou que celui-ci les exploite ou utilise dans le cadre de son activité.4.2. L’acheteur s’interdit de masquer, supprimer ou modifier, de quelque façon que ce soit, les droits et/ou titres de propriété intellectuelle ainsi que les signes distinctifs apparaissant sur les emballages des marchandises livrées par le vendeur.4.3. L’acheteur s’engage à informer immédiatement et par tout moyen le vendeur de toute atteinte à ses droits de propriété et/ou droits/titres de propriété intellectuelle et/ou signes distinctifs (ou à ceux qu’il exploite ou utilise dans le cadre de son activité) et à apporter toute sa coopération au vendeur.4.4. À tout moment, le vendeur pourra opérer les vérifications nécessaires quant au bon respect des dispositions ci-avant, sans préjudice de toute autre action du vendeur. L’acheteur s’engage à faire respecter cette clause auprès de ses propres clients , L’acheteur autorise expressément la visite de toute personne habilitée ou mandatée par le vendeur pour exercer le contrôle du respect des dispositions prévues par les présentes conditions générales de vente notamment en matière de propriété intellectuelle et de préservation de la qualité de la marchandise. Pour ce faire, l’acheteur s’engage à lui faciliter le libre accès à ses locaux et notamment mais non exclusivement aux serres. Le vendeur pourra également consulter tout document utile à cet effet. L’acheteur, en cas de revente des produits à un tiers, sera tenu d’informer le tiers des obligations ci-dessus décrites.

Article 5 - Commandes 5.1. Une fois la commande confirmée par le vendeur, les commandes seront exécutées dans la mesure du possible, et les marchandises seront livrées, dans la mesure du possible, aux dates souhaitées par l’acheteur.

Par ailleurs, le vendeur recommande aux acheteurs de donner très exactement leurs instructions d’expédition. Le vendeur décline toute responsabilité si des erreurs se produisent par manque de renseignement. 5.2. En cas de récolte ou de production partielle ou nulle, provoquée notamment par un cas de force majeure, une réduction partielle ou totale sera appliquée à la commande.Les livraisons seront effectuées en fonction des approvisionnements et disponibilités en quantité et qualité suffisantes. En cas de livraison partielle, les produits seront facturés au prorata des quantités livrées.Aucune indemnité (en ce notamment inclus tous dommages et intérêts de quelque nature qu’ils soient) ne pourra en conséquence être réclamée, notamment pour livraison partielle, non-livraison ou retards de livraison.5.3. Le vendeur ne livrera les semences qu’une fois qu’un test de germination aura été accompli sur le lot concerné. Dans l’hypothèse où l’acheteur demande néanmoins au vendeur de lui livrer les semences avant la fin du test de germination, l’acheteur assumera l’entière responsabilité des conséquences du lot de semences en matière de germination.

Article 6 - Risques6.1. La marchandise voyage aux risques et périls de l’acheteur et ce quel que soit le mode de transport : compagnie de transport routier ou ferroviaire, maritime, aérien, services postaux…6.2. Sauf conditions particulières, tout retard de livraison/perte/dommage causé à la marchandise pendant le transport et leurs conséquences éventuelles seront assumés exclusivement par l’acheteur.Le destinataire est tenu de confirmer au transporteur ses réserves motivées par lettre recommandée avec accusé de réception postée dans les trois jours suivant la réception de la marchandise (article L. 133-3 du Code de Commerce). La non-observation de ces formalités empêche toute action contre le transporteur.

Article 7 - Délais de réclamation Toute réclamation portant sur l’aspect extérieur et la pureté spécifique devra être faite dans les douze jours suivant l’arrivée de la marchandise, sur la faculté germinative dans les quarante cinq jours suivant l’arrivée de la marchandise, sur l’authenticité, la pureté variétale dans les délais normaux de semis et de contrôle faisant immédiatement suite à la date de livraison. En cas de livraison par le vendeur de semences conditionnées, aucune réclamation ne sera acceptée par le vendeur dans l’hypothèse où les semences ont été réemballées par l’acheteur ou ses propres clients.

Article 8 - Prix8.1. Les prix des marchandises sont établis par référence aux tarifs publiés et communiqués par le vendeur. Conformément aux usages de la profession et compte tenu des contraintes techniques et commerciales, le prix des semences qui ne font pas l’objet d’une telle publication reste soumis à une négociation de gré à gré entre l’acheteur et le vendeur. Sauf condition particulière, les tarifs applicables sont ceux en vigueur le jour de la confirmation de la commande. Dans tous les cas, il incombera ensuite à l’acheteur de fixer librement ses prix de vente à ses propres clients.8.2. Les prix s’entendent hors taxes, départ usine (Incoterms, version 2010), hors emballage. Ils sont applicables à partir du premier avril de chaque année et pourront être modifiés à tout moment en cours de campagne. 8.3. Sauf conditions particulières il sera fait application de la colonne tarif correspondant à la quantité commandée. Pour des pesées intermédiaires il sera fait application du prix de base de la colonne tarif immédiatement inférieure à cette pesée.8.4. Toutes taxes, frais de transport, assurances, certifications, autorisations, frais bancaires et frais d’emballage ou de conditionnement sont facturés de façon distincte sur la facture émise par le vendeur sauf conditions particulières.

Article 9 - Paiement 9.1. Tout règlement est réputé réalisé à la date à laquelle les fonds sont mis par l’acheteur à la disposition du vendeur (Article L. 441-3, alinéa 4 du Code de Commerce).9.2. Sauf conditions particulières, les paiements sont effectués par chèque, virement ou traite à 30 jours date de facture, à l’exception des acheteurs ayant fait l’objet d’un ou plusieurs incidents de paiement ou plus généralement d’un contentieux et ayant soldé leur compte, des acheteurs faisant l’objet d’une procédure collective ou toutes autres procédures similaires, selon la législation applicable en vigueur, et des nouveaux acheteurs, pour lesquels, pendant un an, toute commande confirmée par le vendeur ne sera livrée que contre paiement comptant à la date de livraison ou paiement préalable, selon le souhait du vendeur, en raison des risques importants d’insolvabilité, et ce sauf conditions particulières précisées par le vendeur, motivées notamment par des renseignements favorables sur la solvabilité de l’acheteur. De plus et en tout état de cause, en cas de renseignements défavorables sur la solvabilité d’un acheteur, ce dernier ne sera livré que contre paiement comptant à la date de livraison ou paiement préalable, selon le souhait du vendeur, sauf conditions particulières précisées par le vendeur. 9.3. Un escompte de 1% du montant hors taxes facturé sera appliqué par le vendeur en cas de paiement intégral par l’acheteur dans les 15 jours suivant la date de la facture, sauf paiement demandé au comptant ou d’avance.9.4. Toutes les marchandises du vendeur et les factures y relatives sont payables au domicile de celui-ci.

9.5. En cas de retard de paiement, de paiement partiel ou de non-paiement, le vendeur pourra suspendre ou résilier toutes les commandes en cours jusqu’à complet paiement de toutes les sommes qui lui sont dues par l’acheteur, sans préjudice de toute autre voie d’action et/ou de dommages et intérêts et tous frais (notamment administratifs, légaux, réglementaires et judiciaires supportés par le vendeur en vue du recouvrement des sommes dues par l’acheteur) que le vendeur se réserve le droit de réclamer. Conformément aux dispositions légales et réglementaires, outre les sommes et frais mentionnés ci-avant, un montant de 40 €uros sera dû de plein droit en cas de non paiement à l’échéance à compter du 1er janvier 2013. L’acheteur ne pourra intenter une quelconque action à l’encontre du vendeur et/ou réclamer une quelconque indemnité du fait de ladite suspension ou résiliation. Toute somme non payée à l’échéance figurant sur la facture entraîne l’application immédiate, sans qu’il soit besoin d’aucune formalité, de pénalités de retard, calculées sur le montant toutes taxes comprises de la facture, au taux d’intérêt appliqué par la Banque Centrale Européenne (BCE) majoré de 10 points de pourcentage (à son opération de refinancement la plus récente jusqu’au 31 décembre 2012 ; au 1er janvier pour le 1er semestre de l’année civile, et au 1er juillet pour le second semestre de l’année civile à compter du 1er janvier 2013), et exigibles le jour suivant la date de règlement figurant sur la facture, ainsi que l’exigibilité immédiate des sommes dues pour d’autres livraisons. Ces conditions sont susceptibles de changer en fonction de la législation en vigueur.9.6. Toute facture non intégralement réglée au plus tard le jour de sa date d’échéance et recouvrée par le service contentieux du vendeur sera, immédiatement et sans qu’il soit besoin d’aucune formalité, majorée, à titre de clause pénale non-réductible au sens des articles 1226 et suivants du Code Civil, d’une indemnité fixée forfaitairement à 15% du montant des sommes impayées.

Article 10 - Résistances La Sensibilité est l’incapacité d’une variété à restreindre la croissance et le développement d’un organisme nuisible déterminé.La Résistance est la capacité d’une variété à restreindre la croissance et le développement d’un organisme nuisible déterminé et/ou les dégâts qu’il cause, en comparaison aux variétés sensibles dans des conditions d’environnementales et de pression de l’organisme nuisible similaire.Les variétés résistantes peuvent manifester quelques symptômes dégâts sous une forte pression d’organismes nuisibles.2 niveaux de résistances sont définis :• Résistance élevée (HR) : Variétés qui restreignent fortement la croissance et le développement d’un organisme nuisible déterminé en comparaison avec des variétés sensibles et sous pression pathologique normale. Cependant, ces variétés peuvent présenter quelques symptômes ou dégâts sous forte pression de l’organisme nuisible.• Résistance intermédiaire (IR) : Variétés qui restreignent la croissance et le développement de l’organisme nuisible déterminé mais peuvent présenter une gamme plus large de symptômes ou dégâts en comparaison aux variétés à résistance élevée. Néanmoins, les variétés à résistance intermédiaire présenteront des symptômes et dégâts moins graves que des variétés sensibles quand elles seront cultivées dans des conditions environnementales et/ou sous pression d’organismes nuisibles similaires.Il convient de noter que, si une variété est déclarée résistante, cette résistance est limitée aux biotypes, pathotypes, races ou souches spécifiés pour l’organisme nuisible.Une résistance revendiquée ne spécifiant aucun biotype, pathotype, race ou souche, signifie qu’il n’existe aucune classification par biotype, pathotype, race ou souche généralement reconnue de l’organisme nuisible en question. Les nouveaux biotypes, pathotypes, races ou souches pouvant apparaître ne sont pas couverts par la résistance revendiquée à l’origine.L’Immunité existe quand une plante ne peut être attaquée ou infectée par un organisme nuisible déterminé.

Article 11 - Droit applicable - Attributionde compétence11.1. Les présentes conditions générales de vente, y inclus les opérations de vente sont soumises au droit français qui est seul applicable.11.2. Pour tous différends, contestations et litiges relatifs à l’exécution et à l’interprétation desdites conditions générales de vente, les Tribunaux du domicile du vendeur sont seuls compétents, même en cas de référé, appel en garantie ou pluralité de défendeurs. En cas de facture impayée par l’acheteur à son échéance, le vendeur aura la possibilité d’assigner celui-ci au lieu de son domicile.

Article 12 - Informatique et Libertés Conformément à la Loi n° 78-17 du 6 janvier 1978 modifiée relative à l’informatique, aux fichiers et aux libertés, l’acheteur dispose d’un droit d’accès, de rectification et d’opposition relatif aux données à caractère personnel le concernant faisant l’objet d’un traitement de données par le vendeur. Les informations fournies par l’acheteur seront utilisées par le vendeur à des fins de gestion administrative et commerciale. Si l’acheteur souhaite faire modifier ou supprimer certaines données à caractère personnel le concernant, il pourra adresser un courrier en ce sens à l’adresse suivante : CLAUSE, Rue Louis Saillant, Z.I.
