CONDIZIONI GENERALI DI VENDITA E DI FORNITURA DELLA SOCIETÀ
SELECTA TRADING S.R.L.I. Ambito di applicazione delle Condizioni
generali di vendita e
di fornitura
(1) Le presenti Condizioni generali di vendita e di fornitura si
applicano, in maniera esclusiva, a tutte le vendite e forniture di
piante (di seguito ”Merce“) effettuate dalla società Selecta
Trading s.r.l. (di seguito la “Venditrice”), nei confronti di tutti
gli Acquirenti che non siano Consumatori ai sensi del Codice di
consumo (di seguito “Cliente”).
(2) La Venditrice rifiuta esplicitamente di accettare le
eventuali condizioni generali del Cliente la cui applicazione è
pertanto esclusa. Tale esclusione si applica anche nei casi in cui
la Venditrice fosse a conoscenza delle condizioni generali del
Cliente senza ribadire esplicitamente il proprio rifiuto.
II. Prezzi e condizioni di pagamento
(1) I prezzi indicati nelle offerte della Venditrice si
intendono al netto di IVA.
(2) I prezzi indicati nelle offerte della Venditrice si
intendono “Franco Fabbrica” (Ex-Works) della Venditrice, oppure
“fran-co aeroporto di destinazione” nel caso in cui la Venditrice
istruisca un suo fornitore di provvedere all’invio della Merce
direttamente verso il Cliente. In entrambi i casi, i prezzi
comprendono il carico della Merce sul mezzo di trasporto, ma non
comprendono, in assenza di eventuali accordi scritti in tal senso,
né l’imballaggio, né il trasporto dalla fabbrica della Venditrice o
dall’aeroporto di destinazione, né assicurazioni o
sdoganamento.
(3) Non sono concessi sconti al di fuori di quelli eventualmente
esplicitamente contenuti nell’offerta della Venditrice.
(4) Nell’ipotesi in cui venga concordato un tempo di consegna
superiore ai 4 (quattro) mesi successivi alla conclusione del
contratto, la Venditrice ha diritto ad un aumento del prezzo per
compensare eventuali aumenti dei costi per materiali, materie
prime, manodopera, produzione, trasporto o ener-gia.
(5) Il pagamento del prezzo è dovuto al momento della
presen-tazione della fattura, ma non prima della consegna, se il
contratto o la fattura stessa non indicano un diversa scaden-za.
Dal giorno successivo alla scadenza o, in caso di mancata
indicazione della stessa, allo scadere del trentesimo giorno dalla
presentazione della fattura, sono dovuti gli interessi di cui al
comma successivo, senza necessità di mettere in mora il
Cliente.
(6) Gli interessi dovuti sono gli interessi legali di mora ai
sensi dell’art. 2 c. 1 lett. e) del D.lg. 9 ottobre 2002, n. 231
ossia gli interessi pari al tasso di riferimento ai sensi dell’art.
5 c. 2 del citato D.lg. maggiorato di otto punti percentuali.
(7) Nel caso in cui, dopo la conclusione del contratto, la
Vendi-trice venga a conoscenza di circostanze rivelatrici di una
po-tenziale incapacità del Cliente di pagare il prezzo, spetta alla
Venditrice il diritto di sospendere la fornitura fino a quando il
Cliente non abbia pagato il prezzo o fornito ideonea garanzia. La
Venditrice può stabilire un termine per il pagamento o per la
costituzione della garanzia. Decorso inutilmente tale termine, la
Venditrice ha diritto di risolvere il contratto, fatto salvo ogni
altro suo diritto.
(8) Fuori dai casi di un’autorizzazione esplicita in tal senso,
non si possono effettuare pagamenti nelle mani di collaboratori
della Venditrice.
(9) I pagamenti con assegno o cambiale si accettano soltanto
salvo buon fine. È a carico del Cliente ogni costo e imposta
connessi a assegni e cambiali e al loro incasso.
(10) Il Cliente può portare in compensazione esclusivamente i
controcrediti che siano accertati con decisione giudiziale pas-sata
in giudicato, o che siano stati riconosciuti o comunque non
contestati dalla Venditrice.
(11) Al Cliente non spetta alcun diritto di ritenzione, se non
origi-nante dallo stesso rapporto contrattuale.
III. Tempi di consegna
(1) I tempi di consegna indicati nelle offerte della Venditrice
sono indicativi, dato che la natura biologica della Merce non ne
consente un controllo totale. La Venditrice ha pertanto diritto di
effettuare le consegne da 2 (due) settimane prima della data di
consegna indicata nell’offerta, fino a 4 (quattro) settimane dopo,
senza incorrere in mora. Tale diritto invece non spetta alla
Venditrice nei casi in cui abbia espressamente garantito la data di
consegna.
(2) La settimana antecedente la data di consegna indicata nel
contratto, la Venditrice aggiornerà il Cliente sulla data di
consegna effettiva.
(3) Il Cliente riconosce e accetta che la Venditrice possa
trovarsi nell’impossibilità di adempiere ai suoi obblighi nei
confronti del Cliente, se non riceve prima le necessarie forniture
o prestazioni dai suoi propri fornitori. La Venditrice è libera dai
suoi obblighi se la mancanza di forniture o prestazioni dai suoi
fornitori non sia riconducibile a fatto della Venditrice stessa, se
la Venditrice non sia neanche in grado di fornire Merce simile al
Cliente, o se il Cliente rifiuti legittimamente (v. clausola IV.2)
la fornitura di Merce simile.
IV. Consegna
(1) La Venditrice ha facoltà di eseguire forniture parziali, nei
limiti della ragionevolezza.
(2) Qualora la Merce concordata (in particolare, la varietà
concordata) non fosse disponibile, la Venditrice ha la facoltà
di fornire Merce simile. Qualora la Merce simile per motivi
oggettivi non fosse di interesse per il Cliente, quest’ultimo ha
diritto di recedere dal contratto.
(3) Dal momento della consegna al vettore o speditore, ogni
rischio di perimento e deterioramento della Merce è a carico del
Cliente. Ciò vale anche nel caso in cui la Venditrice si faccia
carico dei costi di trasporto.
(4) Il Cliente è tenuto a esaminare la Merce immediatamen-te, e
deve denunciare gli eventuali vizi o difetti di qualità apparenti
entro otto giorni dal ricevimento della Merce. Gli eventuali vizi o
difetti di qualità non apparenti devono essere denunciati entro
otto giorni dalla scoperta.
V. Riserva di proprietà
(1) Il Cliente acquista la proprietà della Merce al momento del
pagamento integrale (e purché andato a buon fine, nel caso del
pagamento con assegni o cambiali).
(2) Fino al momento del passaggio della proprietà, il Cliente è
tenuto a trattare la Merce con la diligenza del buon padre di
famiglia.
(3) Fino al momento del passaggio della proprietà, il Cliente è
tenuto ad informare la Venditrice immediatamente dell’eventua le
pignoramento della Merce ad opera di terzi.
(4) Il Cliente è autorizzato a trasformare e a disporre della
Merce anche prima del passaggio della proprietà, a condizione che
ciò avvenga nel corso di un regolare svolgimento degli affari del
Cliente.
VI. Garanzia
(1) Nell’ipotesi in cui la Merce sia affetta da vizi, spettano
al Cliente i rimedi di legge con le precisazioni di cui alla
presen-te clausola VI e alla successiva clausola VII.
(2) Nel caso e nella misura in cui dai vizi della Merce risulti
un diritto al risarcimento dei danni a favore del Cliente, si
applicano le disposizioni sulla Responsabilità della Venditrice di
cui alla clausola VII.
(3) Ogni responsabilità della Venditrice per gli eventuali vizi
e difetti di qualità della Merce è esclusa se il Cliente ha omesso
di denunciare i vizi e difetti entro il termine prescritto.
VII. Responsabilità della Venditrice
(1) La responsabilità della Venditrice per gli eventuali danni
alle persone è quella prevista dalla legge.
(2) La responsabilità della Venditrice per colpa lieve si
estende ai danni prevedibili e tipici, ed è esclusa per ogni altro
danno. Il Cliente è tenuto a valutare l’opportunità di assicurarsi
contro gli eventuali danni per i quali la Venditrice non
risponde.
(3) La responsabilità della Venditrice per colpa grave e dolo
non è soggetta a limitazioni.
(4) In deroga alla clausola VII (2) la responsabilità della
Venditri-ce per colpa lieve nei ritardi delle consegne è limitata
ad un ammontare pari al 5% del prezzo (IVA compresa).
(5) La responsabilità della Venditrice, sia contrattuale che
extra-contrattuale, è esclusa in ogni ipotesi non menzionata nella
presente clausola VII. È ugualmente esclusa nell’ipotesi in cui la
Venditrice sia liberata dall’obbligo di consegnare la Merce di cui
alla clausola III.3.
(6) Ogni responsabilità della Venditrice per forza maggiore è
esclusa. Vi rientrano, per esempio, i casi di incendio, maltempo,
terremoto, sciopero, incidenti, presa di ostaggi, guerre, disordini
e catastrofi naturali.
(7) Le esclusioni e limitazioni alla responsabilità della
Venditrice, per il mancato rispetto della data di consegna e per la
mancanza di una determinata qualità della Merce, non si ap-plicano
laddove la Venditrice abbia espressamente garantito per iscritto
tale data di consegna o qualità.
VIII. Diritti di proprietà industriale
(1) Il Cliente deve corrispondere royalties alla Venditrice, per
l’u-so della proprietà intellettuale e industriale (marchi e nuove
varietà vegetali) e di diritti d’autore (su fotografie e altro) di
cui la Venditrice sia titolare o licenziataria. Nelle fatture, le
royalties verranno specificate in una voce separata.
(2) Disposizioni su nuove varietà vegetali
(a) Il Cliente può utilizzare la Merce protetta come nuova
varietà vegetale esclusiva mente per coltivarla fino a raggiungere
lo stato “prodotto finito in fiore” (in vaso o da taglio), e per
lavorare ulteriormente o commer cializzare il “prodotto finito in
fiore”. Il Cliente non deve, in partico-lare, cedere la Merce o
comunque metterla a disposizione di terzi in qualsiasi altro modo,
né utilizzare o preparare la Merce per la riproduzione, o farne
oggetto di impor-tazione o esportazione. In caso di qualsiasi
violazione di tali divieti, il Cliente dovrà corrispondere una
penale pari a € 0,50 per ogni pianta ottenuta con la
riproduzione o ce-duta o comunque messa a disposizione di terzi,
fatto salvo il diritto della Venditrice al risarcimento di ogni
maggior danno.
(b) Il Cliente deve sempre indicare il nome delle varietà
vegetali in modo completo, sia nelle proprie fatture sia nella sua
documentazione commerciale in generale.
(c) Il Cliente riconosce che gli eventuali mutanti/sports
ri-scontrati nella Merce sono da considerarsi varietà vegetali
essenzialmente derivate dalla Merce ai sensi dell’art. 107
del Codice della proprietà industriale, e che i relativi diritti
spettano alla Venditrice come titolare della varietà iniziale senza
la cui autorizzazione il Cliente non deve compiere alcun atto, ai
sensi dell’art. 107, commi 1 e 2, del Codice della proprietà
industriale, avente ad oggetto gli eventuali mutanti/sports.
Nell’ipotesi in cui siano riscontrati mutan-ti/sports nella Merce,
il Cliente ne informerà la Venditrice immediatamente e le
permetterà di ispezionare i mutanti/sports durante i regolari orari
di lavoro.
(d) Il Cliente acquirente di Merce protetta come nuova varietà
vegetale è obbligato a consentire l’accesso alla propria azienda,
senza preavviso e in ogni momento durante i regolari orari di
lavoro, alle persone incaricate dalla Venditrice di verificare
l’osservanza delle disposizioni concernenti le nuove varietà
vegetali nell’azienda del Cliente. A tal fine, il Cliente è, in
particolare, obbligato a consentire alle dette persone di
ispezionare i reparti di produzione e di sviluppo, e a dare le
informazioni neces-sarie per una verifica effettiva. Su richiesta
del Cliente, le persone incaricate dalla Venditrice devono
dimostrare la propria legittimazione esibendo un incarico scritto.
La Venditrice garantisce che i suoi controllori rispettino la
riservatezza di ogni informazione segreta di cui possano venire a
conoscenza durante l’attività di verifica.
(3) Disposizione sui marchi
(a) A ciascuna varietà vegetale, la Venditrice ha attribuito un
marchio. Con il pagamento del prezzo della Merce, e delle royalties
specificate in fattura, il Cliente ottiene anche il diritto di
usare il relativo marchio, insieme all’indicazione della varietà
vegetale, nella commercializzazione dei propri prodotti ottenuti
attraverso la coltivazione della Merce.
(b) Il marchio deve essere utilizzato in maniera da essere
riconoscibile come tale, escludendo ogni confusione con il nome
della varietà vegetale. A tal fine, il simbolo ® o almeno la sigla
“TM” devono essere aggiunti al marchio, senza abbinare quest’ultimo
direttamente al nome della varietà vegetale. Il Cliente è tenuto a
utilizzare le etichette eventualmente fornite dalla Venditrice per
assicurare un’immagine unica della varietà vegetale e del marchio.
Il marchio non deve essere usato su etichette diverse senza
approvazione scritta della Venditrice.
IX. Legge applicabile, foro competente, lingua, modifiche,
con-senso ai sensi della legge sulla privacy, comunicazioni
(1) Il contratto è regolato dalla legge italiana, con esclusione
del diritto internazionale privato e della Convenzione delle
Nazioni Unite sui Contratti di Compravendita Internazionale di
Merci (CISG).
(2) Il foro competente per tutte le eventuali controversie
nascenti dal presente contratto è Roma. Tuttavia, nei confronti di
Clienti avente sede legale o domiciliati fuori dall’Italia, la
Venditrice può a sua discrezione fare valere i propri diritti anche
davanti ai giudici di Stoccarda (Germania).
(3) Prevale la versione italiana delle presenti Condizioni di
Vendita e di Fornitura anche nel caso in cui questi ultimi
venissero tradotti in un’altra lingua.
(4) Le eventuali modifiche del contratto si fanno soltanto per
iscritto (compreso telefax).
(5) Nel caso della invalidità (iniziale o sopravvenuta) di
singole disposizioni delle presenti Condizioni di Vendita e di
For-nitura, senza che la disposizione invalida venga per legge
sostituita da altra disposizione valida, rimangono comunque valide
e in forza tutte le altre disposizioni delle presenti Con-dizioni
di Vendita e di Fornitura e la Venditrice e il Cliente si obbligano
a sostituire la disposizione invalida con altra disposizione,
valida, che assicuri il più possibile il medesimo risultato
economico della disposizione invalida.
(6) Il Cliente e la Venditrice, ai fini della normativa in
materia di riservatezza dei dati personali, prestano reciprocamente
il proprio consenso al trattamento dei propri dati, unicamente
finalizzato alla gestione dei contratti per la compravendita di
Merce. Sempre a tale finalità, il Cliente presta il proprio
consenso al trattamento dei propri dati anche a favore dei terzi
eventualmente incaricati dei controlli relativi alle nuove varietà
vegetali.
(7) Le comunicazioni tra le parti devono essere trasmesse: (a)
con qualsiasi modalità purché l’altra parte abbia riconosciuto la
ricezione della comunicazione per iscritto (o per e-mail); oppure,
(b) con modalità di trasmissione che diano prova della consegna
della comunicazione al destinatario. Tali ultime modalità compren
dono la posta elettronica certificata (PEC) all’indirizzo PEC del
destinatario risultante dal Registro delle Imprese o dall‘Indice
Nazionale degli Indirizzi di Posta Elettronica Certificata
(www.inipec.gov.it). Le comunica-zioni possono essere inviate, per
conto della parte, anche dall’indirizzo PEC appartenente ad un
terzo (purché risultante dall’INIPEC); tuttavia, con l’invio di
comunicazioni dall’indi-rizzo PEC di un terzo la parte accetta
automaticamente anche di ricevere comunicazioni al medesimo
indirizzo PEC. Nei casi in cui le comunicazioni non siano contenute
nel corpo di una PEC bensì in un allegato alla PEC, l’allegato non
necessita della firma digitale o altra autenticazione della propria
provenienza.

CONDIZIONI DI VENDITA E FORNITURA

THE STANDARD TERMS OF SALE AND DELIVERY OF SELECTA TRADING
S.R.L.I. Area of application of the Standard Terms of Sale and
Delivery
(1) Only these Standard Terms of Sale and Delivery of Selecta
Trading s.r.l., to the exclusion of all others, shall apply to all
sales and deliveries of plants (referred to below as "the goods")
by Selecta Trading s.r.l. (referred to below as "the Seller") to
all customers not being consumers within the meaning of the
Consumer Code (referred to below as “the Buyer”).
(2) It is expressly stated that no contradictory or different
busi-ness terms of the Buyer shall be valid. This exclusion of the
Buyer's business terms shall even apply if the Seller effects
deliveries to the Buyer without reservation in the knowledge of
these contradictory business terms.
II. Prices and terms of payment
(1) All prices listed in the Seller's offers are net and exclude
value added tax.
(2) In as far as nothing to the contrary is agreed the prices in
the offer are quoted ex works including loading. In the case of
goods which are delivered directly to the Buyer by one of the
Seller's suppliers on the instructions of the Seller, the prices
are quoted ex the agreed destination airport including load-ing,
but in both cases excluding packaging, freight, transport (possibly
from the agreed destination airport), insurance and customs
duty.
(3) The Buyer shall only be entitled to deduct a cash discount
in as far as such a discount is included in the Seller's offer.
(4) If the agreed delivery date falls more than 4 months after
the conclusion of the contract, and there have been increases in
the costs of materials, raw materials, wages and salaries,
production, transport or energy, the Seller shall be entitled to
demand a higher price to take account of and compensate for these
higher costs.
(5) The purchase price shall be due for payment when the Seller
issues an invoice, but not before delivery has been made, if no
different payment dates are agreed in the contract or stated on the
invoice. After the due date, or if no due date has been stated on
the invoice, the Buyer shall be in default 30 days after the
receipt of the invoice and the interest rates stated in the
following article are owed without any reminder being required.
(6) The interest due is the statutory interest for delayed
payment in accordance with art. 2 (1) of the Decreto legislativo
(legislative decree) no. 231 of October 9, 2002, e.g. 8 % above the
base rate in accordance with art. 5 (2) of said legislative
decree.
(7) If, after the conclusion of the contract, the Seller should
be-come aware of facts which give grounds for justified doubts
regarding the Buyer's solvency, the Seller shall be entitled to
demand part payment or a security before making any deliv-eries.
The Seller shall be entitled to set the Buyer a deadline for
remitting payment or providing a security. The Seller may rescind
the contract after the expiry of this deadline. This shall not
affect any further rights which the Seller may have.
(8) Payments to the Seller's staff may only be made if they have
been expressly authorised to accept such payments.
(9) The Seller will only accept cheques and bills of exchange on
account of payment. The charges for redeeming cheques or bills of
exchange (particularly cheque and bill charges) shall be borne by
the Buyer.
(10) The Buyer shall only have the right to set off claims
against the claims of the Seller if these claims are
non-appealable, undisputed or recognised by the Seller.
(11) The Buyer shall only be entitled to exercise a right of
reten-tion if its counter-claim is based on the same contract.
III. Delivery date
(1) The delivery dates stated in the Seller's offers are
estimated dates based on the fact that the natural material isn’t
to a hundred percent controllable. The Seller shall be entitled to
deliver the goods up to two weeks before the delivery date stated
in the offer or up to four weeks after this delivery date. The
Seller shall not be in default before the expiry of four weeks
after the delivery date stated in the offer. The aforesaid rules
shall not apply in as far as the Seller has promised or guaranteed
a firm delivery date.
(2) The Seller shall notify the Buyer of the probable delivery
week by no later than the last working day of the week preceding
the delivery week.
(3) Deliveries shall be made subject to the reservation that the
Seller is itself supplied with the right goods in good time. If the
Seller has ordered the goods from a supplier in good time and the
reasons for the late or incorrect delivery to the Seller are no
fault of the Seller's and the Seller is not able to offer the Buyer
any comparable goods or the Buyer has justifiably refused the
delivery of comparable goods (see IV.2), the Seller shall be
released from its obligation to effect delivery.
IV. Delivery
(1) The Seller shall have the right to make part delivery to a
reasonable extent.
(2) If the agreed goods are not available (particularly the
agreed variety) the Seller shall have the right to deliver
compara-ble goods to the Buyer. If the Buyer is not interested in
the comparable goods for objectively justified reasons, the Buyer
may rescind the contract.
(3) When the goods are shipped, the risk of their deterioration
or loss shall pass to the Buyer when they are handed over to the
carrier or forwarding agent. This shall also apply if delivery has
been agreed at no charge to the customer.
(4) The Buyer must immediately examine the consignment for
obvious defects and variations in quality and make a com-plaint to
the Seller within 8 days after receipt of the goods. The Buyer must
make a complaint concerning defects which become discernible at a
later date within 8 days after having detected such defects.
V. Reservation of title
(1) The sold goods shall remain the Seller’s property (goods
un-der reservation of title) until full payment of the sales
price.
(2) The Buyer must treat the goods under reservation of title
and which are the property of the Seller with good care.
(3) If the goods under reservation of title are seized by third
parties the Buyer must notify the Seller immediately.
(4) The Buyer shall have the right to process and sell the goods
under reservation of title within the framework of proper business
dealings.
VI. Guarantee
(1) The Buyer's rights under guarantee due to a defect in the
goods supplied shall be based on the statutory provisions in as far
as nothing to the contrary results from the following provisions in
this clause and in clause VII. Liability.
(2) In as far as a claim for damages accrues to the Buyer due to
a defect in the goods, the provisions regarding liability in clause
VII. Liability shall apply.
(3) Guarantee is excluded for such defects that haven’t been
notified by the Buyer within the prescribed time limit.
VII. The Seller's liability
(1) In cases of personal injury the Seller shall be liable
according to the statutory provisions.
(2) If the Buyer asserts claims for damages or claims to
compen-sation for expenses due to slight negligence on the part of
the Seller, the Seller shall only be liable for the typical
foreseea-ble damage. The Seller draws the Buyer's attention to the
fact that it must take out insurance in the individual case, e.g.
if there is any possibility of substantial damage occurring.
(3) If the Buyer asserts claims for damages or claims for
compensation due to an intentional or grossly negligent breach of
duty on the part of the Seller, the Seller’s liability is
unlimited.
(4) The Seller, in departure from VII. 2, sentence 1, shall only
be liable for damage due to default caused by slight negligence on
the part of the Seller, to the sum of 5 % of the agreed purchase
price (including value added tax).
(5) In all other cases the Seller's liability shall be excluded.
This shall also apply in as far as the Seller is not obliged to
effect delivery in accordance with III. 3. The exclusion and
limitation of liability shall also apply to non-contractual
liability.
(6) In case of Force Majeure the Seller’s liability shall also
be excluded. Such cases are, for example, fire, thunderstorms,
earthquakes, strikes, traffic accidents, hostage-taking, wars,
disturbances or other acts of nature.
(7) The foregoing provisions limiting and excluding liability
shall not apply to damage sustained due to the failure to comply
with a delivery date or a defect in the goods in as far as the
Seller has given an assurance or a guarantee regarding the delivery
date or the quality of the goods.
VIII. Intellectual property rights
(1) The Seller shall charge a fee for using its intellectual
property rights and licensing rights including its industrial
property rights (Plant Breeders’ Rights and Trademark Rights),
Copyrights and Image Rights. This fee shall be displayed separately
on the invoice as royalty.
(2) Provisions regarding Plant Breeders’ Rights
(a) The goods (plants) that are protected by Plant Breeders’
Rights may only be cultivated and processed as potted plants or cut
flowers and/or sold as such. The Buyer may particularly not give
the goods to third parties, use or process them for propagation
purposes, circulate them for the said purposes nor import or export
them. Infringe-ments will result in an immediate penalty of EUR
0.50 per illegally propagated plant or plant given to third
parties. This penalty doesn’t affect the Seller’s legal rights to
claim compensation from the infringer.
(b) The Buyer is obliged to indicate the correct variety
denomination on all invoices and other business papers.
(c) The Buyer acknowledges that mutations/sports found in the
goods are subject to the plant breeders’ rights of the owner of the
protected varieties being essentially derived varieties in the
meaning of the PBR Law and that for this reason they may not be
exploited for commercial purposes without the consent of the owner
of the rights of the protected varieties. The Buyer shall give
notice to the Seller immediately after having detected such
mutation/sport and shall entitle the Seller to inspect the
mutation/sport during normal business hours.
(d) The Buyer of goods protected by Plant Breeders’ Rights shall
be obliged to allow persons authorised by the Seller to make
controls of the protected varieties at any time and without prior
announcement during the normal business hours and to particularly
allow these persons to enter the Buyer’s premises and to inspect
the production and development facilities and to give them the
information necessary to assert the right to control the goods. At
the Buyer's request the persons engaged by the Seller shall prove
their authorisation to the Buyer by showing a writ-ten
authorisation from the Seller. The Seller undertakes to ensure that
the controllers maintain confidentiality regarding other company
secrets which they may notice within the framework of their
inspections.
(3) Provisions regarding Trademark Rights
(a) The Seller has assigned to each of its varieties a certain
trademark. By paying the goods and the Intellectual Property Access
Fee brought to account the Buyer shall become entitled to use, in
addition to the variety denom-ination, the trademark corresponding
to the variety when selling the respective variety.
(b) Using the trademark the Buyer has to ensure the proper
identification of the trademark as such and that it is clear-ly
distinguishable from the variety denomination. This can be done by
adding ® or at least TM to the trademark and by avoiding that the
trademark isn’t used in direct connection with the variety
denomination. The Buyer shall only use labels delivered by the
Seller to ensure a uniform image of variety and the trademark. The
use of a trademark on other than the delivered labels is subject to
prior written approval of the owner of trademark owner.
IX. Applicable law, place of jurisdiction, amendments and
severability
(1) The contract shall be governed by the law of Italy with the
exception of the UN Agreement concerning the international sale of
goods (CISG) and the provisions of international private law.
(2) Place of jurisdiction for all disputes arising from this
contract is Rome. However, in case the Buyer has its place of
business outside of Italy the Seller is entitled to assert its
rights towards this Buyer at a court located in Stuttgart,
Germany.
(3) Even if the contract and these Terms of Sale and Delivery
are translated into another language the Italian version of these
Standard Terms of Sale and Delivery shall be binding.
(4) Amendments to the contract may only be made in writing (also
by fax).
(5) If any provision of these Standard Terms of Sale and
Delivery should be or become void, the Seller and the Buyer
under-take to replace the void provision by a valid provision which
gives best effect to the intended commercial purpose in as far as
there are no statutory provisions which can be implied into the
contract to fill any possible gap.
The following provisions only apply in case the Buyer has its
place of business in Italy:
(6) Buyer and Seller shall give each other the necessary
approval to process their personal data insofar as this is needed
for processing orders of goods. In the frame of this purpose the
Buyer shall also agree with the processing of its data by third
parties entitled by the Seller to control the Seller’s property
rights.
(7) Communication between the parties has to be done as follows:
(a) whichever way as long as the other party acknowledges receipt
in writing or by e-mail; (b) in a way of transmission that ensures
the proof of receipt. This can be done by sending a certified
e-mail (PEC) to the recipient’s PEC address registered in the
commercial register or National Register of PEC Addresses
(www.inipec.gov.it). The commu-nication can also be sent via the
PEC address of a third party (providing that it comes from the
INIPEC). Sending a commu-nication from the PEC address of a third
party automatically includes the approval to receive messages under
the same PEC address. In case the communication isn’t included in
the PEC message itself but in annex of a PEC this annex shall not
require an electronic signature or any other proof of origin.
